List Price. Seller agrees to list the Property for sale at the list price specified in this Agreement. The failure of the Property to be shown or sell at the list price may be an indication that the list price for the Property is too high.
List Price. As used herein, "List Price" of a Product shall mean the price of such Product as listed on the standard retail price lists published by Nautilus Marketing or Nautilus from time to time for general use. Such standard retail price lists may be changed, expanded, reduced or modified, or the sale or distribution of any Product discontinued unilaterally, from time to time and at any time during the term hereof, in the sole and absolute discretion of Nautilus, without incurring any liability whatsoever to NovaCare or others. Nautilus Marketing will use its best efforts to give NovaCare sixty (60) days' notice in advance of any such change in List Price or Products, which notice may be in the form of one or more new price lists delivered in advance of their effective dates. It is understood and agreed, for purposes of calculating the Sales Commission and the Marketing Allowance, that List Price does not include Deductions, but that the foregoing provisions regarding unilateral modification and notice by Nautilus Marketing Nautilus shall apply to Deductions.
List Price. OSI shall have the right to modify the List Price for the Licensed Software, System (including interfaces), and Ancillary Products once each calendar year (usually, but not always, done at the beginning of each calendar year). OSI will notify BISYS of any change in such List Prices at least thirty (30) days prior to the effective date of the change.
List Price. $ . Seller is solely responsible for determining the appropriate listing price.
List Price. The royalty payments which KLA shall be required to ---------- pay pursuant to Section 6.1 above shall be based upon TEL's list price of the particular module of the CATS Falcon Software which is sublicensed by KLA (the "List Price"). The List Price shall be used solely to calculate the royalty payments. KLA shall be entitled to independently determine the fees it will charge the End Users for the CATS Falcon Software. Throughout the term of this Agreement, the List Price of the CATS Falcon Driver shall be as follows-
(i) [***] for use with CPUs on a system rated at 15 MIPS or less;
(ii) [***] for use with CPUs on a system rated at greater than 15 but less than 75 MIPS; and
(iii) [***] for use with CPUs on a system rated at 75 MIPS or more. TEL will deliver to KLA a list setting forth its non-discounted published price for each Non-embedded CATS Falcon Option (the Standard Prices ). This list shall also specifically state the discount offered by TEL to a licensee for the license of a particular CATS Falcon Option if such licensee has previously licensed one or more copies of the same CATS Falcon Option for use at the same or a different site (the "Discount"). The List Price which KLA will use to calculate the royalty payments due under Section 6.1 for its license of an Embedded CATS Falcon Option will be equal to the Standard Price for the corresponding Non-embedded CATS Falcon Option discounted as follows: if TEL credits copies of Embedded CATS Falcon Options previously licensed by KLA to a prospective customer for the purposes of calculating its Discount, the reduction to the Standard Price to determine the List Price shall be calculated in the same manner as TEL's calculation of its list price to its prospective customer. If TEL does not provide such a credit for copies of Embedded CATS Falcon Options, the reduction of the Standard Price shall be calculated as if each copy of the Embedded CATS Falcon Option previously licensed to the prospective customer is a Non-embedded CATS Falcon Option. Thus, the applicable Discount will be based upon the sum of all Embedded CATS Falcon Options and Non-embedded CATS Falcon Options previously licensed to the prospective customer from either TEL or KLA. List Price. As used herein, “List Price” shall mean the following: (i) for national brand Products where manufacturer list price is available, the List Price will be the manufacturer list price based on the bracket that Supplier most frequently purchases the applicable Product, including inbound transportation (and Supplier will further reduce such List Price for any trade deals available to TFM at time of invoice); and (ii) for national brand Products where no manufacturer list price is published, supplies and private label Products other than TFM Private Label Products (such as Wild Harvest), the List Price will be Supplier’s sell price generally available to Supplier’s independent customers (i.e., excluding stores or other customers owned by any Supplier entity) of the applicable Supplier Facility. If TFM negotiates with a vendor a price for TFM Private Label, produce, non-UPC meat or non-UPC deli product, then Supplier shall use commercially reasonable efforts to procure such Product at the same specifications, and the negotiated price will be the List Price for any Product so procured. List Prices are subject to change at any time and from time to time, but List Prices for national brand Products may only be increased or decreased, as applicable, in accordance with any price increases and price declines that Supplier may receive from its supplier of the Products. Supplier shall reflect any such price increases and/or price declines the week after they go into effect; provided, however, Supplier shall make commercially reasonable efforts to notify (which notice will not be written notice in accordance with Section 19 below but will be given electronically in a manner mutually agreed upon by both parties) TFM [***] in advance of effective price increases. The parties will conduct a regular evaluation of Skus distributed by specialty food providers and Supplier.
List Price. The standard list price which will be published in the U.S. for the Harmony Test (the “List Price”) initially shall be [*]. During the Exclusive Period, any List Price adjustment shall require approval by the Collaboration Committee and will not become effective for at least [*] following such approval. LabCorp will not xxxx patients or payers more than the List Price during the Exclusive Period. Following the Exclusive Period, ARIOSA shall have the exclusive right to alter the List Price, upon at least [*] prior written notice, to [*]. The Collaboration Committee will establish pricing for Canada [*].
List Price. A. Bid shall be in the form of one fixed (across the board) discount off current list price per category.
B. Awarded vendor(s) shall furnish Procurement Division and each requesting division, immediately upon award, current list price, properly identified as to price and column designation for each category and clearly reflecting each respective awarded discount in one of the following methods:

List Price. The list price for a CHOICE Lite Product shall be $15,000, which includes, set-up fees, implementation, and access to the CHOICE Lite content sources. For each trial offering account, GEMS will pay HealthGate 50% (or $7,500) of the $15,000 list price for each CHOICE Lite Product and HealthGate will not charge GEMS or the customer for the remaining 50% (or $7,500) for each trial offering account, thereby HealthGate shall assume such costs. The customer shall not be obligated to pay for the CHOICE Lite Product during the trial period (however, additional content sources, services, functions and HealthGate Products may be provided to a CHOICE Lite Product account for additional fees). GEMS obligation to pay for each trial offering of the CHOICE Lite Product will occur upon the CHOICE Lite Product installation and HealthGate's implementation of all services associated with each CHOICE Lite Product installation. GEMS will remit, subject to this Section 2.2, to HealthGate all fees, with respect to CHOICE Lite Products installed in a given calendar quarter, due within 45 days of the end of such calendar quarter.
List Price. In the event that Supplier unilaterally establishes, or has established, for any Product a list price, vet list price, manufacturer’s suggested retail price, or suggested veterinary price (collectively, “List Price”), Supplier (a) may only increase the Contract Price in connection with an increase in the List Price and any increase to the Contract Price may not exceed the simultaneous percent increase in the List Price, and (b) shall immediately decrease the Contract Price in proportion to any decrease to the List Price, in each case as necessary to ensure that the percent difference between the List Price and the Contract Price does not decrease.
