The Joint Committee. The Joint Engineering Representative Training Program Committee (hereinafter called the “Committee”) shall be composed of equal representation by two (2) persons to represent AmerenIP management and two (2) persons of the Sr. Eng. Rep classification to represent IBEW Local 51. A. Members of the Committee shall be appointed by the group they represent, and vacancies shall be filled in the same manner. The Local 51 Committee members will be designated by the Business Manager. Every two (2) calendar years, the Business Manager of Local 51 and the Administrator - Engineering & Systems Training (hereinafter referred to as the “Program Coordinator”) will appoint a new union and management member respectively to the committee to serve for the succeeding two year term. The Program Coordinator will retain a permanent position on the committee. The Local 51 Business Manager may retain a permanent position if so desired or may appoint another union member to take their place as a voting member of the committee as allowed in Section I, paragraph A of this agreement. If two union members are appointed by the Business Manager, only one will have a two year term. The other appointee may, at the discretion of the Business Manager, retain a permanent position on the committee. The Program Coordinator and the Local 51 Business Manager may replace their appointee(s) at any time. Former management and union committee members may be re-appointed after being off the committee for at least two years. For orientation purposes, new committee appointees will attend at least one meeting prior to their January 1, two year term start date. Outgoing committee members will attend the first meeting after the January 1 term effective date. B. Voting will consist of one vote per Committee member. C. Consultants may be invited to attend meetings of the Committee but shall have no vote or voice. The Committee must agree on consultants. D. The Program Coordinator will chair the Committee. A secretary may be appointed by the Committee. E. The Committee may, as it deems appropriate, appoint a representative in an area to serve as a liaison between the Engineering Representative Trainees in an area and the Committee, and to perform other duties as designated by the Committee. This liaison will be allowed reasonable time during the normal workday to perform these duties. F. Any AmerenIP employee who serves as a member of the Committee will be provided transportation to attend any meetings of the Committee. The employee/Committee member will also be allowed reasonable periods of time necessary during the workday to perform their duties as a member of the Committee. AmerenIP will compensate the wages and reasonable expenses of any employee/Committee member.

Each Party to this Agreement will have two (2) persons representatives on the Joint Committee, consisting of one (1) elected official and one (1) staff member. Each agency will have one (1) vote. The elected official from each agency, when present, shall be the voting representative from the agency. When the elected official is not present, but the staff member representative is present, the staff member shall have the power to represent AmerenIP management vote. Although not required, any agency may appoint an alternate elected official to represent, and vote on behalf of, the agency in the absence of its primary member. b. By majority vote of the Joint Committee, the members of the Joint Committee will select a chairperson, or co-chairpersons, at its first meeting of the new calendar year. The term of the chairperson(s) will extend through December of that year. A vacancy in the office will be filled for the balance of the term by a representative, or representatives, selected by a majority vote of the Joint Committee at the first meeting of the Joint Committee following notice of the vacancy. c. The Joint Committee will meet as often as necessary to fulfill its functions, but not less than two (2) persons times per year. Annually, provide feedback and advice to Marin Transit as a manager of yellow bus services, focusing on advice regarding annual budget formation, decision making regarding service issues and service levels, and enhanced public oversight regarding yellow bus needs and services in the Xxxx Valley School District. 5. Adopt Committee by-laws consistent with this Agreement and with all applicable laws that include, but are not limited to, Xxxx Valley yellow bus service overview and the mission of Xxxx Valley yellow bus service as provided under this Agreement in coordination with Marin Transit. The by-laws will also set forth rules and procedures for the conduct of the Joint Committee’s business. Such rules and procedures will include a process for the orderly documentation of Joint Committee but shall have no vote or voice. The Committee must agree on consultantsmeetings, including the distribution of meeting agendas and final meeting minutes. D. The Program Coordinator will chair the Committee. A secretary may be appointed by the Committee. E. The Committee may, as it deems appropriate, appoint a representative in an area to serve as a liaison between the Engineering Representative Trainees in an area and the Committee, and to perform other duties as designated by the Committee.
