The Supplier will ensure Sample Clauses

The Supplier will ensure that all Sub-Contracts in the Supplier’s supply chain entered into after the Start Date wholly or substantially for the purpose of performing or contributing to the performance of the whole or any part of this Contract contain provisions that: (a) allow the Supplier to terminate the Sub-Contract if the Subcontractor fails to comply with its obligations in respect of environmental, social, equality or employment Law; (b) require the Supplier to pay all Subcontractors in full, within 30 days of receiving a valid, undisputed invoice; and (c) allow the Buyer to publish the details of the late payment or non-payment if this 30-day limit is exceeded.

The Supplier will ensure. (a) that it does not engage in bribery, does not direct, authorise or knowingly permit any person who acts on its behalf or provides services to it, to engage in bribery and that it will not, engage in, or direct, authorise, or knowingly permit a person acting on its behalf or providing services to it, to engage in, bribery; (b) that it has provided a copy of its bribery and corruption policy to the Customer and that it has procedures in place to implement the provisions of that policy, which it reasonably believes will ensure its compliance (and that of persons acting for it in connection with this agreement) with that policy; and (c) that neither it nor any person acting for it in connection with this agreement has taken or will take any action or engage in any activity which is likely to lead to the Customer or any of its Affiliates committing an offence under the Bribery Act 2010.
