THEREUPON Sample Clauses

THEREUPON in the case of an Event of Default other than one referred to in clause (f) or (g) of this Section 9 with respect to the Borrower, the Administrative Agent shall, if instructed by the Majority Lenders, by notice to the Borrower, terminate the Commitments and/or declare the principal amount then outstanding of, and the accrued interest on, the Loans, the Reimbursement Obligations and all other amounts payable by the Borrower hereunder (including, without limitation, any amounts payable under Section 5.05 or 5.06 hereof) to be forthwith due and payable, whereupon such amounts shall be immediately due and payable without presentment, demand, protest or other formalities of any kind, all of which are hereby expressly waived by the Borrower; and (2) in the case of the occurrence of an Event of Default referred to in clause (f) or (g) of this Section 9 with respect to the Borrower, the Commitments shall automatically be terminated and the principal amount then outstanding of, and the accrued interest on, the Loans, Reimbursement Obligations and all other amounts payable by the Borrower hereunder (including, without limitation, any amounts payable under Section 5.05 or 5.06 hereof) shall automatically become immediately due and payable without presentment, demand, protest or other formalities of any kind, all of which are hereby expressly waived by the Borrower. In addition, upon the occurrence and during the continuance of any Event of Default (if the Administrative Agent has declared the principal amount then outstanding of, and accrued interest on, the Revolving Credit Loans and all other amounts payable by the Borrower hereunder to be due and payable), the Borrower agrees that it shall, if requested by the Administrative Agent or the Majority Revolving Credit Lenders through the Administrative Agent (and, in the case of any Event of Default referred to in clause (f) or (g) of this Section 9 with respect to the Borrower, forthwith, without any demand or the taking of any other action by the Administrative Agent or such Lenders) provide cover for the Letter of Credit Liabilities by paying to the Administrative Agent immediately available funds in an amount equal to the then aggregate undrawn face amount of all Letters of Credit, which funds shall be held by the Administrative Agent in the Collateral Account as collateral security in the first instance for the Letter of Credit Liabilities and be subject to withdrawal only as therein provided.

THEREUPON in the case of an Event of Default other than one referred to in clause (f) or (g) of this SECTION 9 with respect to a Borrower, the Administrative Agent may and, upon request of the Majority Banks, will, by notice to such Borrower, terminate the Commitments and/or declare the principal amount than outstanding of, and the accrued interest on, the Loans and all other amounts payable by such Borrower hereunder and under the Notes to be forthwith due and payable, whereupon such amounts shall be immediately due and payable without presentment, demand, protest or other formalities of any kind, all of which are hereby expressly waived by such Borrower; and (ii) in the case of the occurrence of an Event of Default referred to in clause (f) or (g) of this SECTION 9 with respect to a Borrower, the Commitments shall automatically be terminated and the principal amount then outstanding of, and the accrued interest on, the Loans and all other amounts payable by such Borrower hereunder and under the Notes shall automatically become immediately due and payable without presentment demand, protest or other formalities of any kind, all of which are hereby expressly waived by such Borrower. Notwithstanding any other provision herein to the contrary, Defaults and Events of Default shall have the following results:
THEREUPON in the case of any such Event of Default, the Creditor may, by written notice to the Borrower, at the Creditor’s option: (A) immediately terminate the commitment of the Creditor to extend credit hereunder, and/or (B) immediately declare the principal of, and interest accrued on, the Note and all other amounts due and payable under the Note immediately due and payable without presentment, demand, protest or notice, whereupon the same shall become immediately due and payable.
THEREUPON. (i) in the case of an Event of Default other than the ones referred to in clause (e) or (f) of this Section with respect to the Borrower, the Lender may, by notice to the Borrower, declare the Principal Amount then outstanding, and the accrued interest thereon and all other amounts payable by the Borrower hereunder, to be forthwith due and payable, whereupon such amounts shall be immediately due and payable without presentment, demand, protest or other formalities of any kind, all of which are hereby expressly waived by the Borrower; and (ii) in the case of the occurrence of an Event of Default referred to in clause (e) or (f) of this Section with respect to the Borrower the Principal Amount then outstanding, and the accrued interest thereon and all other amounts payable by the Borrower hereunder shall automatically become immediately due and payable without presentment, demand, protest or other formalities of any kind, all of which are hereby expressly waived by the Borrower.
THEREUPON. In the case of an Event of Default, other than an Event of Default referred to in Section 9.6. or Section 9.7., the Lender may, by notice to the Company, cancel the Credit Facility and/or declare the then-outstanding principal amount of, and the accrued interest on, the Loans and all other Obligations payable by the Company hereunder and under the Notes (including, without limitation, any amounts payable under Section 10.3.) to be forthwith due and payable, whereupon such amounts shall be immediately due and payable without presentment, demand, protest or other formalities of any kind, all of which are hereby expressly waived by the Company; (2) in the case of the occurrence of an Event of Default referred to in Section 9.6. or Section 9.7. above, the Credit Facility shall automatically be canceled and the then-outstanding principal amount of, and the accrued interest on, the Loans and all other Obligations payable by the Company hereunder and under the Notes (including, without limitation, any amounts payable under Section 10.3.) shall automatically become immediately due and payable without presentment, demand, protest or other formalities of any kind, all of which are hereby expressly waived by the Company; and (3) in the case of any Event of Default, the Lender may exercise any and all remedies available under the Security Documents or under Applicable Law. The proceeds of any sale of the whole or any part of any of the Collateral as a result of an Event of Default, together with any other moneys paid to or held by the Lender under the provisions of any Credit Document, shall be applied by the Lender in the following order:
THEREUPON in the case of an Event of Default other than one referred to in clause (e), (f) or (g) of this Section 10.01 with respect to the Company or OEI-Louisiana, the Administrative Agent may and, upon request of the Majority Lenders, shall, by notice to the Company, cancel the Commitments and/or declare the principal amount of the Loans, together with accrued interest, and all other amounts payable by the Company hereunder and under the Notes to be forthwith due and payable, whereupon such amounts shall be immediately due and payable without presentment, demand, protest, notice of intent to accelerate, notice of acceleration or other formalities of any kind, all of which are hereby expressly waived by the Company and OEI-Louisiana; and (ii) in the case of the occurrence of an Event of Default referred to in clause (e), (f) or (g) of this Section 10.01 with respect to the Company or OEI-Louisiana, the Commitments shall be automatically canceled and the principal amount of the Loans, together with accrued interest, and all other amounts payable by the Company hereunder and under the Notes shall become automatically immediately due and payable without presentment, demand, protest, notice of intent to accelerate, notice of acceleration or other formalities of any kind, all of which are hereby expressly waived by the Company on its behalf and on behalf of OEI-Louisiana.

Notwithstanding anything in this Agreement or any other Credit Document to the contrary, any reference in this Section 7 or elsewhere in this Agreement or any other Credit Document to “during the continuation of an Event of Default” or that any Event of Default “is continuing” or any similar phrase shall not create or be deemed to create any right of Borrower or any other Person to cure any default following the expiration of any applicable grace or notice or cure period.
