TI Services. In partnership with a third party accounting firm (“Provider”) retained by State Street, State Street will perform (or cause the Provider to perform, as applicable) the services described as follows: (a) Oversee and manage Provider’s: (1) annual Agreed Upon Procedure (AUP) review of the specific administration and accounting processes of the Trust, as mutually agreed between State Street and the Trust in writing from time to time, and (2) preparation and delivery to the Trust of an appropriately detailed written report as a result of each such annual review. State Street’s oversight and management responsibilities include the design, maintenance and facilitation of the AUP reviews from State Street’s perspective. (b) Execute additional reviews of the Funds’ financial statements, as mutually agreed between State Street and the Trust in writing from time to time, and provide the Trust with a completed review package with each first draft of a Fund's financial statements. State Street shall also review the Funds’ draft financial statements and footnotes thereto (excluding the “tax footnote” disclosures) on an annual and semi-annual basis, as applicable, to confirm that such draft financial statements (excluding the “tax footnote” disclosures) were prepared in accordance with Generally Accepted Accounting Principles. These reviews will take place prior to each delivery of the first draft of a Fund’s draft financial statements for the Trust’s review and approval and are in addition to, and complementary of, State Street’s current standard operating procedures and existing services-related obligations under the Agreement. The focus of these additional reviews will be on both the proper recognition of processes subjected to AUP reviews as well as higher- level analytical and reasonability checks.

TI Services. (i) TI shall maintain and administer the network and systems necessary to provide, account for, and manage the long distance phone time usage in connection with the Telecards issued from time to time through the Telecard Machines, including, without limitation, (A) all services necessary for the activation of the Telecards purchased from Telecard Machines from time to time, (B) the call center for the 800 numbers (all such 800 numbers shall be obtained by TI and shall remain the sole property of PNV during the Term (as defined in Section 5) and at all times thereafter) to be used by holders of Telecards to use the long distance phone minutes on such Telecards, which support shall be available 24 hours a day, 7 days a week, (C) the tracking, monitoring and recording of long distance phone time used in connection with the Telecards issued from time to time through the Telecard Machines, and (D) all services necessary for the recharge of Telecards by telephone and through recharge coupons purchased using the Telecard Machines. (ii) The telecommunications platform provided by TI in connection with the Telecards shall include information services and customer support services (accessible via telephone) at least equivalent to such information services and customer support services provided by TI in connection with other pre-paid phone cards issued by TI from time to time, which shall include voice mail services, information services, enhanced services (i.e. conference calling, etc.), and recharge services. (iii) TI shall create, administer, and manage the personal identification and access numbers associated with the Telecards issued. (iv) TI shall track the usage of the Telecards and shall provide PNV with a monthly summary statement including such information as PNV may reasonably request from time to time, but that shall in any event contain detailed information regarding billable usage, estimated tax liability, and payphone surcharges assessed. TI Services. Notwithstanding anything contained herein or in any Work Authorization to the contrary, in the event that any Service to be provided hereunder is to be provided by Seller pursuant to the TI Services Agreement or Supplemental Agreement or work authorization entered into thereunder, and the TI Services Agreement, Supplemental Agreement or work authorization or the applicable service thereunder is terminated, Seller shall have no further obligation to provide such Service hereunder.

  • Cloud Services Unless otherwise stated in the Agreement or in the Order, Company grants Customer a limited, non-transferable, non-sublicenseable, non-exclusive, worldwide license to access and use the Number of Units of Cloud Services during the Term solely for internal business purposes in accordance with the applicable license restrictions stated in the Business Unit Terms, Order, and Documentation.   • Our Services As insurance intermediaries we generally act as the agent of our client. We are subject to the law of agency, which imposes various duties on us. However, in certain circumstances we may act for and owe duties of care to other parties, including the insurer. We will advise you when these circumstances occur, so you will be aware of any possible conflict of interest. In some cases, we act for insurers under a delegated authority agreement and can enter into insurance policies, issue policy documentation and/or handle or settle claims on their behalf. Where we act on behalf of the insurer and not you, we will notify you accordingly and in relation to claims we will advise you of this fact when you notify us of a claim. Notwithstanding this, we endeavour to always act in your best interest. As intermediaries, we offer a wide range of insurance products and have access to many leading insurance companies and the Lloyd’s market. Depending on the type of cover you require and where we have provided advice based on a personal recommendation, we will offer you a policy from either: • a single insurer; • a limited range of insurers; or • a fair analysis that is representative of the insurance market. We will advise you separately as to which of these apply before we arrange your policy and where we have not undertaken a fair analysis of the market, we will provide you with a list of insurers considered.
