Title Assignment. Bank represents and warrants that it is the owner and holder of the Loan Documents, that it has full power and authority to enter into this Agreement and convey the Loan Documents and other rights provided for herein to Debtor, that it will not sell, assign, encumber, transfer, convey, hypothecate or alienate the Loan Documents or any mortgages, liens or security interests which secure the obligations under the Loan Documents without Debtor's prior written consent in its sole discretion. Notwithstanding anything to the contrary set forth herein or in the Guaranty, Bank shall not amend, modify, waive, terminate, extinguish, release or alienate the Loan Documents, any mortgages, liens or security interests which secure obligations under the Loan Documents or any rights against the Borrower. The Assignment and other Loan Documents shall inure to the benefit of and be binding upon the parties and their respective heirs, legal representatives. successors and assigns. Any attempt by Debtor to assign its interests and obligations hereunder without Bank's prior written consent is null and void.

Title Assignment. SCPPA shall have title to the Project and the License. SCPPA shall be permitted to assign or transfer title to the Project and License, in whole or in part at any time, so long as no material default by SCPPA of its obligations hereunder exists: (a) to any current member or members of SCPPA, or to any California joint powers authority comprised of two (2) or more current members of SCPPA (each, a ―SCPPA Assignee‖), provided that such SCPPA Assignee expressly assumes in favor of YTID its pro-rata share of the obligations owed to YTID hereunder based upon the percentage share of title to the Project and License assigned to such SCPPA Assignee, and (b) for security purposes in connection with a financing transaction, provided that the assignment for security purposes shall be limited to assignment by a SCPPA Assignee and shall be subject to this Agreement. ―Current members of SCPPA‖ shall mean any member of SCPPA as of the Closing.

Upon the execution of each Assignment Agreement by the assignor, the assignee and the Borrower and consent thereto by the Agent (i) such assignee shall thereupon become a "Bank" for all purposes of this Agreement with a Commitment in the amount set forth in such Assignment Agreement and with all the rights, powers and obligations afforded a Bank hereunder, (ii) the assignor shall have no further liability for funding the portion of its Commitments assumed by such other Bank and (iii) the address for notices to such Bank shall be as specified in the Assignment Agreement, and the Borrower shall execute and deliver Notes to the assignee Bank in the amount of its Commitments and new Notes to the assignor Bank in the amount of its Commitments after giving effect to the reduction occasioned by such assignment, all such Notes to constitute "Notes" for all purposes of this Agreement, and there shall be paid to the Agent, as a condition to such assignment, an administration fee of $2,500 plus any out-of-pocket costs and expenses incurred by it in effecting such assignment, such fee to be paid by the assignor or the assignee as they may mutually agree, but under no circumstances shall any portion of such fee be payable by or charged to the Borrower.

  • Transfer/Assignment (A) Subject to compliance with clause (B) of this Section 8, this Warrant and all rights hereunder are transferable, in whole or in part, upon the books of the Company by the registered holder hereof in person or by duly authorized attorney, and a new warrant shall be made and delivered by the Company, of the same tenor and date as this Warrant but registered in the name of one or more transferees, upon surrender of this Warrant, duly endorsed, to the office or agency of the Company described in Section 3. All expenses (other than stock transfer taxes) and other charges payable in connection with the preparation, execution and delivery of the new warrants pursuant to this Section 8 shall be paid by the Company.

  • Termination; Assignment This Agreement may be terminated by either party at any time upon the provision of ninety days prior written notice thereof to the other. Any such termination, however, will not affect the Company’s ongoing obligations to make payments to NCPS in accordance with the terms hereunder. Both parties acknowledge that the duties and obligations provided for herein are personal in nature and agree that neither this Agreement nor any of such duties or obligations may be assigned by either party without the express written consent of the other, except that NCPS may assign its rights and obligations under this contract to an affiliated broker-dealer with Company’s prior written consent.   • Binding Nature; Assignment This Agreement shall be binding upon and inure to the benefit of the parties hereto and their permitted successors and assigns. Neither party shall assign or otherwise transfer any rights or obligations under this Agreement without the express written consent of the other party; provided, however, that either party may assign its rights or obligations under this Agreement to any Affiliate of such party; provided, further, that no such assignment shall relieve the assigning party of its obligations hereunder.
