TMOL Sponsorships. TMOL shall comply with the trademark use ----------------- guidelines in Exhibit C regarding sponsorships, advertising or promotions arranged and sold by TMOL to third parties involving xxxxxxxxxxxx.xxx. Any use not allowed by such guidelines will be subject to the prior approval of TM Corp, which will not be unreasonably delayed or withheld. TM Corp and TMOL will develop a working relationship for daily review of the content of xxxxxxxxxxxx.xxx for uses requiring prior approval.

The Asset Representations Reviewer will maintain adequate staff that is properly trained to conduct Reviews as required by this Agreement.

  • Memberships The Company will reimburse the Employee for one professional membership which has a business related purpose and is approved by the Company.

  • Customer and Trade Relations As of the Closing Date, there exists no actual or, to the knowledge of any Credit Party, threatened termination or cancellation of, or any material adverse modification or change in: the business relationship of any Credit Party with any customer or group of customers whose purchases during the preceding 12 months caused them to be ranked among the ten largest customers of such Credit Party; or the business relationship of any Credit Party with any supplier essential to its operations.
