Tower Construction Requirement. Grantee or an affiliate of Grantee shall construct or cause to be constructed a minimum 600,000 square foot office tower (“Tower”) in the Uptown neighborhood2 of Dallas by December 31, 2024. Grantee will be the anchor office tenant of the Tower and will lease a minimum of 200,000 square feet in the building on or before December 31, 2025 to serve as the global headquarters of Grantee. The date of occupancy shall be measured as the date of issuance of a temporary or permanent certificate of occupancy for the leased space. Completion of the Tower shall be evidenced by a permanent or temporary certificate of occupancy and evidence that all contractors for the Tower have been paid and all mechanics and materialmans liens related thereto have been released.
