Traffic sampling. 22.3.1 For determining the actual traffic on the Project Highway, the Authority shall be entitled to inspect the relevant records of the Concessionaire, and may, at its own cost, undertake traffic sampling substantially in the manner set forth in Schedule-O at such frequency as it may deem appropriate, but in no case for less than a continuous period of 7 (seven) days. The Concessionaire shall provide such assistance as the Authority may reasonably require for such traffic sampling.
22.3.2 If the traffic sampling pursuant to this Clause 22.3 demonstrates that the actual traffic is more than the traffic reported by the Concessionaire, the traffic determined by the traffic sampling shall be deemed to be the traffic for purposes of this Agreement and in the event of any Dispute relating to the traffic sampling, the Dispute Resolution Procedure shall apply. For the avoidance of doubt, Realisable Fee for any comparable period shall be calculated with reference to the traffic determined hereunder.

20.6.2 If the traffic sampling pursuant to this Clause 20.6 demonstrates that the actual traffic is more than the traffic reported by the Concessionaire, the traffic determined by the traffic sampling shall be deemed to be the traffic for purposes of this Agreement and in the event of any Dispute relating to the traffic sampling, the Dispute Resolution Procedure shall apply.

19.3.2 I f the t raffic sampling pursuant to this Clau se 19. 3 demonstrates that the actual t raf f ic is m ore t han t h e t raf f ic report ed by t he Con cession aire, t he t raf f ic determined by the traffic sampling shall be deemed to be the t raffic for purposes of this Agreement and in the event of any Dispute relating to the traffic sampling, the Dispute Resolution Procedure shall apply. For the avoidance of doubt, Realisable Fee for any comparable period shall be calculated with reference to the t raffic determined hereunder.
Traffic sampling. For the purpose of determination and/ or verification of the actual traffic on the Project Highway, MPRDC shall, directly or through the independent consultant appointed by MPRDC, in addition to inspection of Concessionaire's records, be entitled to undertake traffic sampling at such frequency and in such manner as MPRDC may deem appropriate. The Concessionaire shall provide all facilities and assistance as MPRDC may reasonably require for undertaking such traffic sampling.
Traffic sampling. UPEIDA through Independent Consultant shall have the right to undertake traffic sampling for the purpose of determination and/ or verification of the actual traffic on the UGC Expressway & Link Expresswayss. This shall be done through Automatic Traffic Count-cum-classifier. For the purpose of traffic sampling, the Concessionaire shall procure a portable type automatic traffic count-cum-classifier and provide it to the Independent Consultant. The traffic count-cum- classifier shall be light weight and portable with weather resistant casing. The system shall be capable of detecting and recording all types of vehicles plying on the UGC Expressway & Link Expresswayss and of classifying any other vehicle category as per user needs. The vehicle classification shall be as per The Uttar Pradesh Expressway (Levy of Tolls and Fixing of Fees and realisation thereof) Rules, 2010 or as approved by the UPEIDA. It would have the following main components:

The Concessionaire shall install, operate and maintain a computer system with round-the-clock connections to the networks of the Authority and other related entities for exchange of data and information useful or necessary for efficient and transparent regulation and management of traffic. For this purpose, it shall follow such protocol for Electronic Data Interchange (the “EDI”) as the Authority may specify. For the avoidance of doubt, it is agreed that the form specified in Schedule-I may be modified by the Authority from time to time for conforming to the requirements and output of EDI.

If the higher of the traffic estimated through electronic/ computerized traffic counters at each of the Toll Plazas and traffic sampling pursuant to this Clause 19.3 demonstrates that the actual traffic is more than the traffic reported by the Concessionaire, the traffic determined as per the aforesaid methodology shall be the traffic determined by the traffic sampling shall be deemed to be the traffic for purposes of this Agreement and in the event of any Dispute relating to the traffic sampling, the Dispute Resolution Procedure shall apply. For the avoidance of doubt, Realisable Fee for any comparable period shall be calculated with reference to the traffic determined hereunder.
