TRANSFER AND SUBLETTING. 1. The seller shall not sublet, transfer, assign or otherwise part with the acceptance to the tender or any part thereof, either directly or indirectly, without the prior written permission of the Purchaser.

TRANSFER AND SUBLETTING. 6.1 The Supplier shall not without the prior written consent of DRS, assign the benefit of or otherwise transfer this Agreement or any part thereof to any other person.

Any transfer (in Czech: postoupení), any subletting (in Czech: podnájem) or any other handover in any form whatsoever, paid or unpaid, full or partial, of the Accommodation Agreement or Accommodation Unit to third parties is not permitted without the Lodging Provider’s written consent. For the avoidance of doubt, it is expressly agreed that this prohibition of transfer and subletting also includes prohibition of temporary letting via travel websites and internet portals (Airbnb, Wimdu, etc). Any breach of this contractual prohibition of transfer and subletting shall entitle the Lodging Provider to demand a contractual penalty in the amount of three (3) monthly ALL-IN Price.
TRANSFER AND SUBLETTING. 27.1 Landlord is entering into this Lease in reliance on the particular and unique skills and reputation of Tenant, and Landlord would not enter into this Lease except for such particular and unique skills and reputation of Tenant. Except as set forth in this Article 27, Tenant shall not make Transfers and enter into Subleases or other occupancy agreements or permit sub-Subleases or other similar occupancy agreements, without the express prior written permission of Landlord in its sole and absolute discretion; provided, however, that such prior written permission of Landlord shall be in its reasonable discretion, so long as the standards and conditions set forth in Sections 27.5 and 27.6 below are satisfied, to facilitate transition in the case of a Transfer following foreclosure (or deed in lieu thereof) if the Leasehold Mortgagee or its Leasehold Mortgagee Affiliate is then the tenant as a result of such foreclosure (or deed in lieu); provided, further however, any subsequent Transfer to a new tenant shall be subject to Landlord’s approval pursuant to Section 27.5 and all other applicable provisions of this Article 27.

This Fee Agreement may be assigned in whole or in part and the Project may be subleased as a whole or in part by the Company so long as such assignment or sublease is made with County consent, which may be granted or ratified by resolution of the County Council. The Company shall be permitted to assign this Fee Agreement to any of its affiliates, if any, without County consent.
