TRANSFER AND SUBLETTING. 27.1 Landlord is entering into this Lease in reliance on the particular and unique skills and reputation of Tenant, and Landlord would not enter into this Lease except for such particular and unique skills and reputation of Tenant. Except as set forth in this Article 27, Tenant shall not make Transfers and enter into Subleases or other occupancy agreements or permit sub-Subleases or other similar occupancy agreements, without the express prior written permission of Landlord in its sole and absolute discretion; provided, however, that such prior written permission of Landlord shall be in its reasonable discretion, so long as the standards and conditions set forth in Sections 27.5 and 27.6 below are satisfied, to facilitate transition in the case of a Transfer following foreclosure (or deed in lieu thereof) if the Leasehold Mortgagee or its Leasehold Mortgagee Affiliate is then the tenant as a result of such foreclosure (or deed in lieu); provided, further however, any subsequent Transfer to a new tenant shall be subject to Landlord’s approval pursuant to Section 27.5 and all other applicable provisions of this Article 27.
