Serious Reason definition

Serious Reason means a serious reason pursuant to Article 2094 of the CCQ and includes, without limitation, (a) the Executive’s breach of a material term of this Agreement; (b) the Executive’s conviction of a criminal offence involving fraud or dishonesty, or which otherwise adversely impacts the reputation of the Company; (c) the Executive directly or indirectly making personal profit out of or in connection with a transaction or business opportunity to which the Company is involved or otherwise associated with, without making disclosure to and seeking the prior written consent of the Company; (d) the Executive’s failure to comply with any Company rules or policies of a material nature; (e) the Executive’s continued failure to substantially perform their job duties; (f) any actions or omissions on the Executive’s part constituting gross misconduct or negligence in connection with the business of the Company.
Serious Reason has the meaning set out in Article IV § 11 (4) (Definition of Serious Reasons);

Examples of Serious Reason in a sentence

  • This Agreement may be terminated immediately by the Company at any time for Serious Reason as defined in section 5.1 below.

  • DRAXIS may terminate this Agreement and your employment hereunder, in its sole discretion, Without Notice and Without Serious Reason, effective immediately upon the date you are advised of the termination (the “Date of Termination”) DRAXIS HEALTH INC.

  • If the Executive’s employment is terminated by the Company without Serious Reason or by the Executive for Good Reason, the provisions of this Section 7 shall apply.

  • In addition, the Employee may give notice of resignation within four (4) months following the Change of Control and in those circumstances he will be entitled to receive all of the compensation payable in the case of a Termination Other than for Serious Reason.

  • In the event of a Change of Control resulting in termination without Serious Reason or resignation by the Executive for Good Reason within two years of the Change of Control, the Executive’s entitlements and the terms and conditions noted in section 4.3 with respect to the Separation Package shall apply.

  • Any dispute, controversy or claim arising under or in connection with this Agreement, or the breach hereof (including a dispute as to whether Serious Reason or Resignation for Good Reason exists), shall be settled by the competent courts of the Province of Quebec, district of Montreal.

  • In the event of a Change of Control resulting in Termination Without Serious Reason or Resignation for Good Reason within two years of the Change of Control, all of the Executive’s unvested options, shares or other equity shall immediately vest upon such termination or resignation.


More Definitions of Serious Reason

Serious Reason means a serious reason that would constitute just cause at common law.
Serious Reason means any act or failure to act by the Employee constituting a “serious reason” under Article 2094 of the Civil Code of Québec;

Serious Reason means any of the following grounds for the Executive’s termination of employment listed: (i) the Executive’s knowing and material dishonesty or fraud committed in connection with the Executive’s employment; (ii) theft, misappropriation, or embezzlement by the Executive of the Company’s funds; (iii) the Executive repeatedly negligently performing or failing to perform, or willfully refusing to perform, the Executive’s duties to the Company (other than a failure resulting from Executive’s incapacity due to physical or mental illness); (iv) the Executive’s conviction of or a plea of guilty to any crime involving fraud or misrepresentation, or any other crime (whether or not connected with his employment) the effect of which is likely to adversely affect the Company or its Affiliates; (v) a material breach by the Executive of any of the provisions or covenants set forth in this Agreement; (vi) a material breach by the Executive of the Company’s Code of Conduct and Business Ethics; (vii) any other act or omission by the Executive that has a material adverse effect on the Company’s ability to operate or (viii) any other acts, omissions or circumstances that constitute a serious reason for termination of employment without prior notice pursuant to Article 2094 of the Civil Code of Quebec. Prior to any termination of employment for Serious Reason pursuant to each such event listed in (i), (iii), (v), (vi), or (vii) above, to the extent such event(s) is capable of being cured by the Executive, the Company shall give the Executive written notice thereof describing in reasonable detail the circumstances constituting the Serious Reason and the Executive shall have the opportunity to remedy same within thirty (30) days after receiving written notice.
