Transfer of Capital Account. A Transferee of Membership Interests succeeds to the portion of the transferor’s Capital Account that corresponds to the portion of the Membership Interest that is the subject of the Transfer.
Transfer of Capital Account. Upon the transfer of all or part of an interest in the Company, as permitted herein, the capital account of the transferor that is attributable to the transferred interest shall carry over to the transferee Member.
Transfer of Capital Account. The original Capital Account established for each transferee shall be in the same amount as the Capital Account or portion thereof of the Member which such transferee succeeds, at the time such transferee is admitted to the Venture. The Capital Account of any Member whose Percentage Interest shall be increased by means of the Transfer to it of all or part of the Interest of another Member shall be appropriately adjusted to reflect such Transfer. Any reference in this Agreement to a Capital Contribution of, or distribution to, a then-Member shall include a Capital Contribution or distribution, as the case may be, previously made by or to any prior Member on account of the Interest of such then-Member.
Transfer of Capital Account. In the event of a permitted sale, exchange or other transfer of a Member’s Units or Economic Interest in the Company, the Capital Account of the transferor shall become the Capital Account of the transferee to the extent it relates to the transferred Units or Economic Interest in accordance with section 1.704-1(b)(2)(iv) of the Treasury Regulations.
Transfer of Capital Account. A transferee of any Common Units succeeds to the portion of the transferor's Capital Account that corresponds to the portion of the transferor's Common Units that is the subject of the transfer.
Transfer of Capital Account. Upon a valid transfer of all --------------------------- or part of a Membership Interest in accordance with Article 8 hereof, the new owner shall succeed to such transferring Member's Capital Account or the applicable portion thereof.
