Transfer of Domain Names. The Assignor agrees to change the registered owner of the Domain Names into the Assignee and the Assignee agrees to accept the change of the registered owner of the Domain Names. The Assignee shall pay the Assignor an amount of RMB 1,000 as a transfer fee for the Domain Names transferred hereunder.
Transfer of Domain Names. Within thirty (30) days following the Closing Date, Sellers shall, for no additional consideration, execute documents, papers, forms, and authorizations, and take such other actions as are reasonably necessary to effectuate the transfer of exclusive control of the Domain Names to Buyer, and enable Buyer to register the Domain Names in the name of Buyer (or Buyer’s designee) with Buyer’s preferred domain name registry or as Buyer may otherwise designate, including unlocking the Domain Names and providing the transfer authorization codes to Buyer, and complying with all reasonable registrar transfer requirements. Following the Closing, Sellers irrevocably consent and authorize the registrars of the Domain Names to transfer them to Buyer.
Transfer of Domain Names. Upon termination of this Agreement for any reason, Licensee shall, and shall cause its sublicensees to, take all necessary steps to transfer promptly to Licensor the registrations for all domain names containing the Licensed Marks or marks confusingly similar thereto registered to them or within their power, possession or control.

Upon receipt by Purchaser of the Domain Name Assignment Agreements, Purchaser will promptly execute the Domain Name Assignment Agreements. The current Novartis administrator of the domain names to be assigned thereunder shall be responsible for filing the requisite requests and any required Domain Name Assignment Agreement with the relevant domain name registrar at the sole costs and expenses of Novartis, including all filing costs, and external fees.
Transfer of Domain Names. As soon as practicable, but in any event no later than 45 days after the Closing Date, the Seller shall transfer to each Company Subsidiary all right, title and interest in the domain names that are owned by the Seller relating to the business of each respective Company Subsidiary, including all registrations, reservations and applications relating thereto (including any of the foregoing at new gTLD registrars and registries), except domain names that incorporate the words, "Comfort", "Comfort Systems" or "CSUSA" and domain names that are applicable to all the Retained Subsidiaries. The Seller agrees not to apply to register or reserve any additional domain names that are the same as, or similar to, such domain names at any time. At the reasonable request of the Buyer, the Company or any Company Subsidiary, the Seller shall take all actions and execute all documents necessary or desirable to facilitate the above transfer.
Transfer of Domain Names. At Closing, Purchaser shall prepare and deliver to Novartis a draft assignment document for the transfer of the Domain Names from Novartis or its Affiliates or friendly third party in Canada to Purchaser in the Territory (the “Domain Name Assignment Documents”) in the form attached at Annex 14. Upon receipt of such Domain Name Assignment Documents, Novartis or its relevant Affiliate or friendly third party in Canada and Purchaser will promptly complete and execute or have completed and executed the Domain Name Assignment Documents. Novartis, its Affiliate or he current Novartis administrator of the Domain Name shall be responsible for filing the requisite requests and any required Domain Name Assignment Documents with the relevant domain name registrar at its sole cost and expense, including all filing costs, and external fees. Novartis shall assist with related formalities to give effect to the rights granted herein and/or to cause its Affiliates and/or friendly third party in Canada to do same. This Clause 10.8 shall survive Closing.
Transfer of Domain Names. If the Board determines that any domain name held by the Founders or any of their Affiliates is necessary for the Principal Business of the Group Companies, the Founders shall promptly transfer or cause their Affiliates to transfer, such domain name at cost to the PRC Companies (supporting documents regarding such cost shall be provided to the Company) and deliver the evidence thereof to the Investors.
Transfer of Domain Names. On the Effective Date, PPI has transferred the Domain Names to EKR for use in connection with the exercise of the Distribution Rights. PPI has provided EKR with reasonable assistance as was necessary to effectuate the transfer of the Domain Names. Upon any termination or expiration of this Agreement, EKR shall promptly transfer the Domain Names back to PPI.
Transfer of Domain Names. The 3taps Defendants warrant and represent that one or more of them has full and clear title in and to the xxxxxxxxx.xxx domain name referenced in the 3taps Judgment/Injunction (the “Domain Name”). As of the Effective Date, the 3taps Defendants hereby assign and otherwise transfer to craigslist all rights, title (including ownership), interest in and to the Domain Name, together with any and all goodwill associated therewith and appurtenant thereto, including without limitation the right to sue and collect damages and/or profits for any and all past, present and future infringement and other unauthorized use of the Domain Name by any person or entity not a party to this Agreement. The 3taps Defendants further agree that, within five (5) days after the Effective Date, the 3taps Defendants shall provide craigslist with the necessary authorization code(s) and any additional information necessary to allow craigslist to transfer registration of the Domain Name from the 3taps Defendants to craigslist.
