Transfers; Assignment. The Member shall not transfer or assign this Agreement or any interest therein, except in accordance with the requirements set forth in this Agreement and the Governing Documents. No such assignment shall take effect as against the Corporation for any purpose unless and until all of the requirements relating thereto set forth in the Governing Documents have been complied with, satisfied, or waived by the Corporation.
