Translation; Localization. Distributor shall translate or localize the Product into the Japanese language, provided, however, that Supplier retains all ownership rights in and to such translated/localized versions of the Product (the "Localized Product"), subject to the termination provisions set forth in Section 2(c), above. Distributor shall provide a copy of any and all publicly released versions of the Product containing such translations/localizations within five (5) days of the Release Date.

Translation; Localization. Distributor may translate any Documentation and Licensed Product Literature only with Xenogen’s prior written consent, it being understood that Distributor hereby assigns to Xenogen all ownership rights in and to any such translated versions of the Documentation and Licensed Product Literature. Distributor agrees to, and shall cause its employees, agents and consultants to, execute such documents and to perform such acts as may be reasonably necessary to perfect and register such assignment in all relevant jurisdictions. Distributor shall not, and shall not cause or permit others to, localize the License Products.
Translation; Localization. At Licensor’ sole option, Licensor may translate the Documentation or localize iPMine for use within the Territory. Licensee may translate the Documentation and such translation shall be an Licensee Derivative Work.
Translation; Localization. 3.8.1. LICENSEE will be responsible for all the localization activities including all textual files in the localization kit and voice recordings. 3.8.2. Q will be responsible for integrating the localized text and recordings into the Products. 3.8.3. LICENSEE will deliver the localized text files and recordings within 7 days, and Q will deliver the integrated products for inspection within 3 weeks from receiving the material from LICENSEE. 3.8.4. LICENSEE will be responsible for approving the localization. 3.8.5. LICENSEE acknowledges that performing the localization process does not constitute any rights to the Products and/or to the localization and/or to the recordings and agrees to assign its copyright in the text and audio localizations to Q. 3.8.6. With regard to the localization process, LICENSEE and Q agree to the following: LICENSEE agrees to respond within 3 working days on all Q's requests regarding localization. For each working day that the LICENSEE causes a delay, either through lack of delivery of material, or failure to respond within 2 working days to a request by Q regarding localization, Q may delay the shipment of the masters of the Products by 3 (three) working days from the agreed schedule. Any delay caused by LICENSEE will not influence the payment schedule as described in section 7.
Translation; Localization. At GEMPLUS' sole option, GEMPLUS will translate or localize the documentation provided with the Gemplus Products ("Documentation"). VAR may not translate the Documentation without GEMPLUS' prior written consent.

  • Currency Translation The Administrative Agent shall determine the US Dollar Equivalent of any Borrowing denominated in a currency other than US Dollars as of the date of the commencement of the initial Interest Period therefor and as of the date of the commencement of each subsequent Interest Period therefor, in each case using the Exchange Rate for such currency in relation to US Dollars in effect on the date that is three Business Days prior to the date on which the applicable Interest Period shall commence, and each such amount shall, except as provided in the last two sentences of this Section, be the US Dollar Equivalent of such Borrowing until the next required calculation thereof pursuant to this sentence. The Administrative Agent shall determine the US Dollar Equivalent of any Letter of Credit denominated in a currency other than US Dollars as of the date such Letter of Credit is issued, amended to increase its face amount, extended or renewed and as of the last Business Day of each subsequent calendar quarter, in each case using the Exchange Rate for such currency in relation to US Dollars in effect on the date that is three Business Days prior to the date on which such Letter of Credit is issued, amended to increase its face amount, extended or renewed and as of the last Business Day of such subsequent calendar quarter, as the case may be, and each such amount shall, except as provided in the last two sentences of this Section, be the US Dollar Equivalent of such Letter of Credit until the next required calculation thereof pursuant to this sentence. The Administrative Agent shall notify the Company and the Lenders of each calculation of the US Dollar Equivalent of each Borrowing or Letter of Credit. Notwithstanding the foregoing, for purposes of any determination under Article V, Article VI (other than Sections 6.08 and 6.09) or Section 7.01 or any determination under any other provision of this Agreement expressly requiring the use of a current exchange rate, all amounts incurred, outstanding or proposed to be incurred or outstanding in currencies other than US Dollars shall be translated into US Dollars at currency exchange rates in effect on the date of such determination.
