Unscheduled Maintenance. 1. Unscheduled Maintenance for certain parts or part numbers as identified on Ex- hibit C to this Agreement, shall be performed by an OEM Authorized, FAA Li- censed Repair Facility (or their counterparts worldwide) acceptable to AEPC™ at AEPC™’s expense for parts and labor, including the labor hours expended in Troubleshooting up to a maximum of two (2) hours. The Client shall be respon- sible for any additional troubleshooting hours unless approved in advance by AEPC™. Such advance approval shall not be unreasonably withheld. 2. Upon being notified by Client that an Airframe or Engine requires Unscheduled Maintenance and of the location and condition of the affected aircraft, AEPC™ shall coordinate with an OEM Authorized, FAA Licensed (or their counterparts worldwide) Repair Facility acceptable to AEPC™ to initiate one or more of the following actions, as it deems appropriate: 3. Dispatch appropriate personnel to the specified location; or i. Initiate timely maintenance pursuant to a purchase order issued by AEPC™ whenever practicable. ii. In the event the OEM Authorized, FAA Licensed (or their counterparts worldwide) Repair Facility acceptable to AEPC™ is required to access an internal Component and/or System in the course of performing Un- scheduled Maintenance of a covered Component and/or System, AEPC™ will only pay for 100% of the Unscheduled Maintenance that di- rectly caused entry to the Airframe or Engine in order to return the Air- frame or Engine to service. 4. In the event the aircraft is AOG (due to the failure of a Covered Component and/or System) for five (5) business days and the delay results from a Covered Component not being available, commencing day six (6) AEPC™ will pay the op- erator One Hundred ($100.00) Dollars per day for up to five (5) additional days.(USA ONLY)
