Use of APC-IP. 8.5.1 The APC hereby grants to the LOC a non-exclusive license and right to use and work the APC-IP, with the right to grant a sub-license, solely for the purpose of preparation, management, promotion and operation of the Asian Para Games 2026, and any other activities in connection with the Asian Para Games 2026, the Asian Para Games 2026-Related Events and the Host City Events over the world, free of charge, for the period beginning on the Commencement Date and ending on the completion of the dissolution procedure of the LOC (for the avoidance of doubt, on the completion of the procedure of Chapter 4 Liquidation under Act on General Incorporated Associations and General Incorporated Foundations of the Host Country) after the completion of the Asian Para Games 2026. Furthermore, the APC hereby grants to the City a non- exclusive license and right to use and work the APC-IP for the purpose of preparation, management, promotion and operation of the Asian Para Games 2026, and any other activities in connection with the Asian Para Games 2026, the Asian Para Games 2026-Related Events and the Host City Events over the world for such period, free of charge. 8.5.2 Upon the completion of the dissolution procedure of the LOC (for the avoidance of doubt, upon the completion of the procedure of Chapter 4 Liquidation under Act on General Incorporated Associations and General Incorporated Foundations of the Host Country) after the completion of the Asian Para Games 2026, the APC hereby agrees that the City shall have, free of charge, a non-exclusive license and right to use and work the APC-IP as long as such APC-IP is legally valid and effective over the world in the following cases: (a) the exhibitions and commemorative exhibitions in connection with the Asian Para Games 2026; and (b) the activities for the promotion of the City. 8.5.3 In the event that the APC allows any third party to use and/or work the APC-IP in any manner (including, but not limited to, the grant of any license and right of the APC-IP as to the Asian Youth Para Games) in the Host Country, the APC shall report such third party, the scope of such license and right, and any other related information to the LOC.

  • Severability Any provision of this Agreement that is prohibited or unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions hereof, and any such prohibition or unenforceability in any jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction.

  • Definitions For purposes of this Agreement:

  • General The Trustee shall keep proper books of record and account of all the transactions of each Trust under this Indenture at its corporate trust office, including a record of the name and address of, and the Units issued by each Trust and held by, every Unit holder, and such books and records of each Trust shall be open to inspection by any Unit holder of such Trust at all reasonable times during the usual business hours.
