Use of Company’s Marks. Company grants to CompUSA a nonexclusive license to use Company’s trademarks, service marks, trade names, service names, insignia, symbols, identification and logotypes and other trade or service names that Company may use (the “Company Marks”) in CompUSA’s advertising and promotion of the Services, subject to written instructions provided by Company to CompUSA as to manner of use. CompUSA will not hold itself out as having any relation to Company or its affiliates except for its relationship pursuant to this Agreement

Use of Company’s Marks. (a) Distributor is hereby granted a nonexclusive right and license to use Company's Marks only in connection with services performed by Distributor pursuant to this Agreement, subject to the following conditions: (i) Distributor shall use Company's Marks only in connection with Cylinders that are of a quality which comply with such standards and requirements as outlined on Exhibit G attached hereto, and for the purpose of ascertaining the quality of such Cylinders, Company through such representative as it may designate shall have the right at all reasonable times to inspect all of Distributor's places of business and to examine the services rendered by Distributor (including the refurbishment and filling of Cylinders) and records of Distributor to verify Distributor's compliance with the requirements of this Agreement. (ii) Distributor will not use any of Company's Marks as part of the corporate or business name of Distributor without prior written approval of Company. (iii) Any and all displays or uses of Company's Marks by Distributor shall comply with the provisions and requirements of this Agreement as or amended from time to time. (iv) Distributor acknowledges the validity of each of Company's Marks. (v) Distributor will not threaten or undertake any legal action based upon a claim that someone else's use of a xxxx conflicts with or infringes any of Company's Marks, but Distributor will promptly call to Company's attention any conflict with or infringement of any of Company's Marks which come to Distributor's attention. (b) In the event of termination of this Agreement, any and all authorization or approval for the use, in whole or in part, of any of Company's Marks shall automatically terminate. Distributor shall thereupon promptly delete all Company's Marks, and parts thereof, from all places where used by Distributor, and shall completely discontinue all use thereof. Thereafter Distributor shall not use in relation to any business in which Distributor may engage any word, name, title or expression which so resembles any of Company's Marks, or part thereof, as to be likely to lead to confusion or uncertainty.
Use of Company’s Marks. CONFIDENTIALITY : Owner shall not use any name, logo, Project title, trademark, or other proprietary marks of Company or of its licensees or assigns in any manner. Owner shall not (and shall not authorize others to) publicize, advertise or promote the appearance of the Property in the Project, unless specifically authorized in writing, by Company or the exhibitor of the Project. Owner acknowledges and understands the valuable and proprietary nature of the Project and any information Owner obtains or learns as a result of Company’s use and filming of the Property, including, without limitation, information, and photographs regarding Company, Project participants (e.g., actors, producers, crew, etc.), the set, storylines and methods of production and any other non-public information (whether written, electronic, graphic or any other form) shall be considered “Confidential Material .” Owner shall not disclose Confidential Material to any third parties unless authorized by Company, in writing, or required by law. Owner ’s confidentiality obligations hereunder shall apply to any and all media, including, without limitation, any social networking site; microblogging service; user- generated or user-uploaded content website; online forum, discussion thread or comment section; personal website or blog; user modified website; or any other website, service, platform, program, application or other form or method of communication, whether now known or hereafter devised (e.g., Facebook, Instagram, TikTok, and Twitter). Owner agrees that any violation of the foregoing provisions shall constitute and be treated as a material breach of this Agreement, which will cause irreparable harm to Company and/ or the exhibitor of the Project entitling Company to seek or obtain injunctive and other equitable relief (without posting bond) to prevent and/ or cure any breach or threatened breach of this paragraph by Owner.

Related to Use of Company’s Marks

  • Use of Marks To the extent one party’s Marks must be utilized by the other party in connection with the operation of a particular Component System or the Licensed Services related to the particular Component System: the Company hereby grants to BNYM a non-exclusive, limited license to use its Marks solely in connection with the Licensed Services provided by the Component System; BNYM hereby grants to the Company a non-exclusive, limited license to use its Marks solely in connection with the Licensed Services provided by the Component System; all use of Marks shall be in accordance with the granting party’s reasonable policies regarding the advertising and usage of its Marks as established from time to time; the Company hereby grants BNYM the right and license to display the Company’s Mark’s on applicable BNYM Web Applications and in advertising and marketing materials related to the BNYM Web Application and the Licensed Services provided by the relevant Component System; each party shall retain all right, title and interest in and to its Marks worldwide, including any goodwill associated therewith, subject to the limited license granted in this Section 4.5; use of the Marks hereunder by the grantee pursuant to this limited license shall inure to the benefit of the trademark owner and grantees shall take no action that is inconsistent with the trademark owner’s ownership thereof; each party shall exercise reasonable efforts within commercially reasonable limits, to maintain all on-screen disclaimers and copyright, trademark and service xxxx notifications, if any, provided to it by the other party in writing from time to time, and all “point and click” features relating to Authorized Persons’ acknowledgment and acceptance of such disclaimers and notifications; and a party shall immediately cease using another party’s Marks immediately upon termination of the Licensed Rights governing the relevant Component System.

  • Use of websites (a) The Guarantor may satisfy its obligation to deliver any public information to the Lenders by posting this information onto an electronic website designated by the Guarantor and the Administrative Agent (the “Designated Website”) by notifying the Administrative Agent (i) of the address of the website together with any relevant password specifications and (ii) that such information has been posted on the website; provided, that in any event the Guarantor shall supply the Administrative Agent with one copy in paper form of any information which is posted onto the website. (b) The Administrative Agent shall supply each Lender with the address of and any relevant password specifications for the Designated Website following designation of that website by the Guarantor and the Administrative Agent. (c) The Guarantor shall promptly upon becoming aware of its occurrence notify the Administrative Agent if: (i) the Designated Website cannot be accessed due to technical failure; (ii) the password specifications for the Designated Website change; (iii) any new information which is required to be provided under this Guaranty is posted onto the Designated Website; (iv) any existing information which has been provided under this Guaranty and posted onto the Designated Website is amended; or (v) the Guarantor becomes aware that the Designated Website or any information posted onto the Designated Website is or has been infected by any electronic virus or similar software. If the Guarantor notifies the Administrative Agent under Section 8.3(c)(i) or Section 8.3(c)(v) above, all information to be provided by the Guarantor under this Guaranty after the date of that notice shall be supplied in paper form unless and until the Administrative Agent is satisfied that the circumstances giving rise to the notification are no longer continuing.

  • Use of Logos The Company hereby consents to the use of its and its Subsidiaries’ logos in connection with the Debt Financing so long as such logos (i) are used solely in a manner that is not intended to or likely to harm or disparage the Company Group or the reputation or goodwill of the Company Group; (ii) are used solely in connection with a description of the Company, its business and products or the Merger; and (iii) are used in a manner consistent with the other terms and conditions that the Company reasonably imposes.

  • Use of Names and Marks All names, trademarks, trade names or symbols (collectively, “Branding”) of each Party are and will remain the exclusive property of such Party. Neither Party will acquire any right to the Branding of the other Party. Accenture will have the limited right to use Supplier’s Branding in connection with the activities described in this Purchase Order.   • Use of Software Any software that is available on the Services ("Software") is the copyrighted work of Red Hat and/or its licensors. Copying or reproducing the Software to any other server or location for further reproduction or redistribution is strictly prohibited, unless such reproduction or redistribution is permitted by a license agreement accompanying such Software. You may not create derivative works of the Software, or attempt to decompile or reverse-engineer the Software unless otherwise permitted by law. Use of the Software is subject to the license terms of any license agreement that may accompany or is provided with the Software. You may not download any Software until you have read and accepted the terms of the accompanying software license. WITHOUT LIMITING THE FOREGOING, THE SOFTWARE IS WARRANTED, IF AT ALL, ONLY ACCORDING TO THE TERMS OF THE SEPARATE LICENSE AGREEMENT ACCOMPANYING THE SOFTWARE. EXCEPT AS WARRANTED IN SUCH LICENSE AGREEMENT, RED HAT, ITS PARENT, SUBSIDIARY, AND AFFILIATE COMPANIES, AND ITS LICENSORS DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THE SOFTWARE, INCLUDING ALL IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

  • Use of FIIOC’s and FSC's Name The Trust shall not use the name of FIIOC and FSC in any Prospectus, sales literature or other material relating to the Trust or any Fund of the Trust in a manner not consented to by FIIOC and FSC prior to use; provided, however, that FIIOC and FSC shall approve all uses of its name which merely refer in accurate terms to its appointments, duties or fees hereunder or which are required by the Securities and Exchange Commission ("SEC" or “Commission”) or a state securities commission; and further, provided that in no event shall such approval be unreasonably withheld.

  • Use of the Name “Xxxxx Xxxxx”. The Adviser hereby consents to the use by the Fund of the name “Xxxxx Xxxxx” as part of the Fund’s name; provided, however, that such consent shall be conditioned upon the employment of the Adviser or one of its affiliates as the investment adviser of the Fund. The name “Xxxxx Xxxxx” or any variation thereof may be used from time to time in other connections and for other purposes by the Adviser and its affiliates and other investment companies that have obtained consent to the use of the name “Xxxxx Xxxxx.” The Adviser shall have the right to require the Fund to cease using the name “Xxxxx Xxxxx” as part of the Fund’s name if the Fund ceases, for any reason, to employ the Adviser or one of its affiliates as the Fund’s investment adviser. Future names adopted by the Fund for itself, insofar as such names include identifying words requiring the consent of the Adviser, shall be the property of the Adviser and shall be subject to the same terms and conditions.

  • Use of the Name BlackRock The Advisor has consented to the use by the Trust of the name or identifying word "BlackRock" in the name of the Trust. Such consent is conditioned upon the employment of the Advisor as the investment advisor to the Trust. The name or identifying word "BlackRock" may be used from time to time in other connections and for other purposes by the Advisor and any of its affiliates. The Advisor may require the Trust to cease using "BlackRock" in the name of the Trust if the Trust ceases to employ, for any reason, the Advisor, any successor thereto or any affiliate thereof as investment advisor of the Trust.
