Use of Independent Contractors. Nothing in this Agreement shall be interpreted to limit Pumatech’s and its Distributors’ right to provide the Programs and Documentation to independent contractors that they may engage in conjunction with the exercise of their rights under this Agreement, provided that the terms of this Agreement shall apply to the use of the Programs and Confidential Information by such independent contractors in the same manner as it applies to Pumatech and Distributor employees and representatives; and, Pumatech shall require all such parties to be bound by an agreement with Pumatech containing provisions with respect to the Intellectual Property Rights of Licensor which are no less protective as are contained in this Agreement. Licensor shall have the right to enforce the terms of any agreement between Pumatech and a third party which provides for the distribution of the Licensed Programs as a third party beneficiary to protect any and all rights it has in its Intellectual Property Rights and Confidential Information. Pumatech agrees that Licensor (i) may join Pumatech as a named plaintiff in any suit brought by Pumatech against an End Customer or Distributor to protect such rights; and (ii) Pumatech shall take such other actions, give such other information and render such assistance, as may be necessary to allow Licensor to bring and prosecute such suits.
Use of Independent Contractors. The Seller has not retained the ------------------------------ services of any independent contractor or consultant for assignment to customers within the past two (2) years except as described on Section 4.25 of the ------------------- Disclosure Schedule. -------------------
Use of Independent Contractors. The employer reserves the right to hire independent contractors to perform various administrative and support functions. No independent contractor shall be hired and utilized to perform operational functions typical of the Battalion Chief responsibilities. Independent Contractors shall not be used for any position within the Incident Command System used for management of emergency incidents. Any other administrative duties assigned to the independent contractor shall be discussed with the Battalion Chiefs prior to assignment.
Use of Independent Contractors. The Court may subcontract unit work consistent with the rights and limitations set forth in Government Code Section 71802.
Use of Independent Contractors. If Charter School decides to use the services of independent contractors rather than hiring employees, the Charter School shall be responsible for properly risk managing those activities. The Charter School shall also assume all responsibility for any taxes and penalties, which may be assessed by the Internal Revenue Service.
Use of Independent Contractors. All persons that will be working on the Customer boat must be communicated by the Customer to Spar Yard. Independent contractors must have completed an Independent contractor agreement and been accepted on to the approved contractor listing.
Use of Independent Contractors. Manager shall, at its expense, have the right to use independent contractors to perform such work as in its reasonable opinion may be convenient or necessary for the support, maintenance, marketing, promoting and supply of Management Services, including computer programmers, technicians, systems consultants, marketing consultants and business consultants, provided that it first notifies and receives the approval of Owner, which shall not be unreasonably withheld.
Use of Independent Contractors. If an Internal Development or an Internal Use is made under this agreement using an independent contractor or service provider, Licensee shall bind the independent contractor or service provider under a contract requiring the independent contractor or service provider to safeguard all of Avid's interests protected under this Agreement between Avid and Licensee as though the independent contractor were also bound hereunder. A violation of any term of this Agreement by Licensee's independent contractor or service provider shall be a breach of that term of this Agreement by Licensee. Licensee shall identify the independent contractor or service provider to Avid by name, and also by the address of the independent contractor’s or service provider’s secure facility at which work is to be performed, and the scope of work to be performed.
Use of Independent Contractors. Provider will provide Consulting Services either through its own resources or by contracting with third-party independent contractors. If, when and to the extent that Provider decides to provide a Consulting Service through a third-party independent contractor, Provider shall consult with and obtain the Company’s approval, which approval shall not be unreasonably withheld or conditioned or unduly delayed. Provider shall at all times remain fully liable for the performance by any third-party independent contractor retained by it.
Use of Independent Contractors. 2.1 The Client acknowledges and agrees that DFES will provide the services under this Agreement through the use of independent contractors.
2.2 The Client acknowledges and agrees that, at the time of the execution of this Agreement, DFES has contracted an independent contractor to:
(a) Provide and install the Automatic Signalling Equipment.
(b) Manage the interface between the Alarm and the Automatic Signalling Equipment.
(c) Manage the interface between the Automatic Signalling Equipment and the Network.
(d) Provide non-emergency support and maintenance services to the Client.
(e) Run a customer support centre intended to serve as the primary non-emergency point of contact between the Client and DFES under this Agreement.
(f) Collect fees under this Agreement on behalf of DFES.
2.3 The Client acknowledges and agrees that, at the time of execution of this Agreement, DFES has contracted with telecommunications providers as independent contractors to provide the Network.
2.4 Clauses 2.1, 2.2 and 2.3 shall prevail to the extent of any inconsistency (whether express or implied) with any other clause of this Agreement and the latter shall, to the extent of the inconsistency, be invalid.
