Use of Independent Contractors. The employer reserves the right to hire independent contractors to perform various administrative and support functions. No independent contractor shall be hired and utilized to perform operational functions typical of the Battalion Chief responsibilities. Independent Contractors shall not be used for any position within the Incident Command System used for management of emergency incidents. Any other administrative duties assigned to the independent contractor shall be discussed with the Battalion Chiefs prior to assignment.

Licensor shall have the right to enforce the terms of any agreement between Pumatech and a third party which provides for the distribution of the Licensed Programs as a third party beneficiary to protect any and all rights it has in its Intellectual Property Rights and Confidential Information. Pumatech agrees that Licensor (i) may join Pumatech as a named plaintiff in any suit brought by Pumatech against an End Customer or Distributor to protect such rights; and (ii) Pumatech shall take such other actions, give such other information and render such assistance, as may be necessary to allow Licensor to bring and prosecute such suits.
