Consulting Services to be Provided. During the Consulting Period, Executive shall perform consulting services for the Company as and when reasonably requested by the Company. In connection therewith, Executive shall provide analyses, participate in meetings and provide other reasonable consulting services as reasonably assigned to Executive by the Chief Executive Officer of the Company or his designee. The foregoing activities of Executive shall be referred to for purposes of this Agreement as the “Consulting Services.”
Consulting Services to be Provided. Consultant will provide services pursuant to each Exhibit (the "Project"), which is attached hereto. Consultant may perform its obligations under this Services Agreement in part through a third party with the prior consent of the Customer. The terms and conditions of this Services Agreement shall apply to said third party. Each Exhibit will be governed by the terms and conditions of this Agreement, the terms and conditions of the Exhibit, and by such supplementary written amendments of this Agreement or each Exhibit as may be from time to time executed between the parties. Each Exhibit will be attached hereto and incorporated herein by reference. In the event of a conflict between the terms and conditions of this Agreement and the terms and conditions of any Exhibit, then the terms and conditions of the Exhibit will govern. The Consultant and Customer shall each assign an authorised representative to coordinate the Project in accordance with the Exhibit.
Consulting Services to be Provided. (a) The Company has ---------------------------------- retained the Consultant to assist the Company in developing, implementing and administering its Financing Program for its acquired subprime mortgage loan product.
Consulting Services to be Provided. A. Pursuant to the terms of this Agreement, Consultant shall provide consulting services to the Company in the areas of finance, accounting, treasury management and mergers & acquisitions, under the specific direction of the Company’s Vice Chairman and Chief Financial Officer or his designee (collectively, the “Services”). Consultant agrees to devote her best efforts to the performance of the Services and to perform the Services in a competent and professional manner.
B. Consultant shall be responsible for maintaining her own office (or home office) during this Agreement, and the Company shall not reimburse Consultant for the expenses of maintaining such office.
C. Consultant acknowledges and agrees that she has no authority to bind or attempt to bind the Company by contract or otherwise, or to represent to third parties that she has any right to so bind the Company, in any connection or for any purpose whatsoever, it being intended that Consultant shall remain an independent contractor and be solely responsible for her own activities.
Consulting Services to be Provided. Beginning as soon as practicable after the execution of this Agreement by the parties, AVM will consult with BIMINI regarding financing – through the use of the repo markets and possibly other techniques – as well as collateral management and other services that are reasonably calculated to assist BIMINI in its REIT-related securities financing activities. BIMINI acknowledges that AVM will not be acting as an investment adviser to BIMINI and that any trading, investment or risk management-related advice provided by AVM will be incidental to and in connection with AVM’s role as an introducing broker for BIMINI, as described below. In consideration for these services, BIMINI will pay to AVM an annual Consulting Fee. The annual Consulting Fee will be the greater of $200,000 and 1 running basis point (i.e., .01% per annum times the average daily aggregate market value of BIMINI’s Mortgage-Related Securities which are subject to Financing Transactions executed by AVM, L.P. (defined below). The initial Consulting Fee (covering the period until February 15, 2004) shall be $50,000, payable within 5 business days after the date on which BIMINI closes on its first private placement of Class A Common Stock (the “Effective Date”). Thereafter, the Consulting Fee shall be payable quarterly in arrears within five business days of each February 15, May 15, August 15 and November 15 (each such date a “Calculation Date”), beginning with May 15, 2004 and continuing until this Agreement is terminated by either party. In consideration of these fees and the IB Fees detailed below, AVM will provide the following specific services in addition to the general consulting services and IB services described herein: (1) dealer introductions and related assistance with the arrangement of repo credit lines and associated documentation with no fewer than eight (8) leading counterparties (note: AVM will not provide any legal advice; all legal advice and analysis, and the associated expense, shall be the exclusive responsibility of BIMINI and its counsel); (2) daily reporting of xxxx-to-market/credit exposure; (3) daily financing schedules and cashflow reports; (4) copies of all trade tickets, confirmations and related trade documentation; (5) periodic P+I reports; (6) other reports as needed regarding financing activities transacted by AVM on behalf of BIMINI; (7) at BIMINI’s direction, cooperate in settling outstanding balances due to or from counterparties under repurchase agreements sec...
Consulting Services to be Provided. The Bank hereby retains Consultant as of the Effective Date to perform consulting services to the Bank as directed by the Board of Directors or Chief Executive Officer of the Bank, including but not limited to (a) representing and promoting the goodwill of the Bank, (b) promoting the continued profitability of the Bank by making, among other things, periodic promotional calls on customers and prospective customers and (c) providing consultation on banking matters (collectively, the “Services”). The services to be performed hereunder by Consultant shall only be provided by Consultant himself.
Consulting Services to be Provided. The Bank hereby retains Consultant to perform business development and related consulting services above and beyond those services typically expected and provided by a member of the Board of Directors or by the Chairman of the Board and which shall include, but not be limited to:
(a) Provide leadership and direction on business development, marketing and public relations activities related to key industries and sectors in the bank’s market territory. These sectors will include entertainment, legal, sports management and professional services.
(b) Oversee and provide guidance to management on civic, community and philanthropic activities.
(c) Actively participate in direct calling, customer solicitation, and relationship management to achieve the Bank’s marketing and business development plan.
(d) Service as spokesperson for the Bank in key areas of business presentation, civic affairs and public relations.
Consulting Services to be Provided. Consultant shall perform the following Services, including, but not limited to: Evaluating prospective clients; Providing advice and analysis of clients’ business, Publishing views on clients on investment forums (e.g. Seeking Alpha, Motley Fool, etc.). Consultant may engage in other business activities as may be permissible under the terms of this Agreement. XXXXXXXXXX and the Consultant agree that the Consultant’s manner and timing of his performance of the Services for XXXXXXXXXX shall be done in such a way as the Consultant determines in the exercise of his reasonable discretion and will enable Consultant to perform the Services for XXXXXXXXXX in a reasonably timely fashion.
Consulting Services to be Provided. Consultant agrees to provide the Company and its designated agents, advisors, and executives with such consultation as the Company may reasonably require up to a maximum of twenty (20) hours per week. The Company shall endeavor to schedule such consulting so that Executive's obligations to assist Company shall not unreasonably interfere with Executive's business prospects or responsibilities to a new employer.
Consulting Services to be Provided. The Consulting services to be provided by Consultant to Client are as follows: Representation of Client with respect to Cannabis/Agricultural Industry Regulatory Consulting and Compliance in Stockton, California and surrounding Central Valley jurisdictions including but not limited to San Xxxxxxx County from August 23, 2018 until April 30, 2019, work shall include specifically:
i. Initial Conference with Client to receive relevant information regarding Client's business entity and profile;
ii. Regular participation on client's behalf in City workshops relevant to Client's projects;
iii. Set in person meetings with Client Meet to confer with members of Stockton City Council, Stockton Planning Commission, Stockton Community Development Department, and Stockton Police Department to advocate for expansion of local licensure (Type 11 - Distributor, Type 7 Manufacturer, Type 10 - Retail Delivery) to accomplish and accommodate Client's project specifications;
iv. Presentation and advocacy of Client interests before Stockton Planning Commission and Stockton City Council;
v. Monthly progress reports regarding amendments to Stockton's 'Measure P' regulatory ordinance and any relevant communications between Consultant and interested parties related thereto.
vi. Monthly updates as to the availability of regulatory developments and eligible locations for expansion of Client's operations in the San Xxxxxxx Valley Region.
vii. Actively seek available permit opportunities in all categories in jurisdictions across the Central Valley. Client agrees to pay consultant in separate agreement $2,500/month for 36 months for every retail permit, and $1,500/month for 36 months for every additional cultivation, distribution, or manufacturing permit consultant is successful in obtaining for client outside of Stockton, CA.
