Right to Hire. Vendor will designate resources as Right to Hire or No-Right to Hire in the applicable Engagement Schedule. If an Employee is designated Right to Hire and the Employee was working with Prudential for less than three (3) months upon hiring, Prudential shall pay a fee of ten percent (10%) of the first year's salary as Vendor's sole and exclusive remedy. Notwithstanding the foregoing, if the Employee was designated as Right to Hire and was working with Prudential for more than three (3) months no fee will be paid upon the hiring of the Employee as an employee by Prudential. If an Employee is designated “No Right to Hire” at the time of commencement of the engagement and Prudential later decides to offer employment to the Employee, Prudential shall pay the following fees to vendor as Vendor's sole and exclusive remedy: (I) twenty (20%) percent of the Employee's first year's salary if the conversion occurs within 3 months after the beginning of the engagement; (ii) ten (10%) percent of the Employee's first year's salary if the conversion occurs within four to six months after the beginning of the engagement; and (iii) no fee if the conversion occurs more than six months after the beginning of the engagement. Prudential shall pay the above fees to vendor only after the former Employee has been employed by Prudential for ninety (90) days. Vendor agrees not to offer employment or otherwise engage any Prudential employee during the term of this Agreement and for a period of six (6) months after termination of the Prudential employee's employment, if the Prudential employee was voluntarily terminated from Prudential. Vendor agrees not to offer employment or otherwise engage any person engaged by Prudential through another firm while that person is actively engaged by Prudential and for a period of three (3) months thereafter.
Right to Hire. DIR, the DIR Customers and/or their designee(s) shall be permitted, without interference (including through counter-offers) from Service Provider (subject to Section 4.4(b)(2)(iii) below), to meet with, solicit and hire, effective after the later of (A) the date of DIR's notice of an Assistance Event and (B) the completion of the Termination Assistance Services requiring such Service Provider Personnel, any Service Provider Personnel substantially dedicated to the performance of the Services during the twelve (12) month period prior to the date of DIR's notice of an Assistance Event who are implicated by that Assistance Event. Service Provider hereby waives its rights, if any, under contracts with such Service Provider Personnel restricting the ability of such Service Provider Personnel to be recruited or hired by DIR, the DIR Customers and/or their designee(s) (including waiving any right to restrict such personnel via non-compete agreements or other contractual means). Service Provider shall provide DIR, the DIR Customers and/or their designee(s) with reasonable assistance in their efforts to meet with, solicit and hire such Service Provider Personnel, and shall give DIR, the DIR Customers and/or their designee(s) reasonable access to such Service Provider Personnel for interviews, evaluations and recruitment. DIR shall endeavor, and shall cause the DIR Customers and their designee(s) to endeavor, to conduct the above-described activities in a manner that is not unnecessarily disruptive of Service Provider's performance of its obligations under this Agreement.
Right to Hire. The College shall have the sole right to hire part-time/adjunct instructional personnel. In the exercise of this sole right, the College agrees to:
a. Provide reasonable notice of part-time employment openings; and
b. Require an employment application from all prospective employees.
Right to Hire. If Customer terminates this Agreement pursuant to Sections 13.3(a) or (c) or 13.4, upon Customer’s written request, Administrator will provide Customer with reasonable access to its key personnel dedicated exclusively to performing Services for Customer and information related to Permitted Subcontractors as Customer may reasonably request so that Customer may extend offers of engagement to such persons. For any such person hired by Customer, Administrator shall waive any prohibitions in any employment or other agreements with such persons that may restrict such individuals from accepting such offers from Customer. The foregoing shall not obligate Administrator to release such persons from any confidentiality obligations or restrictive covenants for the benefit of any third party, if any. Administrator will cooperate with Customer to identify whether any such persons are bound to any restrictive covenants for the benefit of any third parties, other than confidentiality obligations.
Right to Hire. The County reserves the right to hire any personnel, without penalty, after they have completed three (3) months of paid services for the County.
Right to Hire. The Union recognizes the right of the Employer to hire whomever it chooses, subject to the seniority provisions contained herein.
Right to Hire. Supplier acknowledges, understands, and agrees to the following:
(A) Supplier further acknowledges, understands and agrees that GDLS may directly hire Supplier’s personnel on assignment with GDLS. If such hire occurs 120 calendar days or more following the commencement of the assignment of supplier’s employee, GDLS shall have no payment obligation to Supplier relative to said hire.
(B) Supplier shall hold GDLS harmless and releases GDLS from any liability or damages whatsoever arising from, or relating to any GDLS direct or indirect actions that result in Supplier’s GDLS assigned personnel being hired directly by GDLS or by another GDLS supplier and remaining on assignment with GDLS.
(C) Supplier shall hold GDLS’ alternative supplier harmless from any liability or damages whatsoever arising from, or relating to any alternative supplier’s direct or indirect actions, that result in Supplier’s GDLS assigned personnel being employed by the alternative GDLS supplier.
(D) Supplier shall release its assigned personnel at GDLS from any applicable restrictive covenants and any related liability or damages should they wish to remain on work assignment at GDLS through another GDLS supplier or be directly hired by GDLS.
Right to Hire. DIR, the DIR Customers and/or their designee(s) shall be permitted, without interference (including through counter-offers) from Service Provider (subject to Section 4.6(b)(2)(iii) below), to meet with, solicit and hire, effective after the later of (A) the date of DIR's notice of an Assistance Event and
Right to Hire. Following the completion of any Healthcare Professional’s contract assignment or extension, Client may hire the Healthcare Professional on a contract to permanent basis per the fee structure described in Exhibit A.
Right to Hire. The County reserves the right to hire any Contractors, without penalty, after they have completed Four hundred and eighty (480) hours of paid services for the County.
