Use of Third Party Information. Employee shall not disclose to AXOGEN, use in AXOGEN’s business, or cause AXOGEN to use any information or material which is confidential to any third party unless AXOGEN has a written agreement with the third party allowing AXOGEN to receive and use the confidential information or materials.
Use of Third Party Information. Each Party warrants to the other that it will not knowingly use the confidential or proprietary information of third parties to perform its respective development obligations under the SWKS Supply Agreement.

You hereby acknowledge and agree that (i) all Company Inventions conceived, developed, or reduced to practice by you during you employment with the Company will be original works of authorship, invention, development, or discovery and will not incorporate or be based on any Third-Party Materials (as defined below) without the express prior written consent of the Company; (ii) if at any time you anticipates that any Third-Party Materials may be contained in any Company Invention that you conceive, develop, or reduce to practice, you will promptly notify the Company in writing (and, in any case, reasonably in advance of delivering such Invention); and (iii) you will not incorporate any such Third-Party Materials in any such Invention unless and until the Company has such legal rights and authority to use the Third-Party Materials as the Company may determine is necessary or appropriate, in its sole discretion. As used herein, “Third-Party Materials” means works, inventions, developments, discoveries, or information belonging to any person or entity other than the Company. You hereby grant to the Company an irrevocable, nonexclusive, worldwide, royalty-free license to use, reproduce and distribute copies of (internally and externally), prepare derivative works based upon, and otherwise commercially exploit any Third-Party Materials, to the fullest extent of your rights, title, or interest therein, which may be contained in any Company Invention developed by you.

Involve complies with all applicable United States, and to the best of its knowledge (without duty of inquiry), foreign privacy laws and regulations regarding the collection, retention, use and disclosure of personal information, and Involve takes all appropriate and industry standard measures to protect and maintain the confidential nature of the personal information provided to Involve by individuals. Involve has reasonable, industry standard technological and procedural measures in place to protect personal information collected from individuals against loss, theft and unauthorized access or disclosure. Involve does not knowingly collect information from or target children under the age of thirteen. Involve does not sell, rent or otherwise make available to third parties any personal information submitted by individuals. Involve has the full power and authority to use and to transfer all rights Involve has in any third party's personal information in Involve's possession and/or control to Kintera and Merger Sub. Involve is not a party to any contract, nor is it subject to any other obligation that, following the Closing, would prevent Kintera and Merger Sub and/or the affiliates of Kintera from using such information in a manner consistent with applicable privacy laws, customer privacy policies and industry standards regarding the disclosure and use of information.

Seller has the full power and authority to use and to transfer all rights Seller has in any third party's personal information in Seller's possession and/or control to Kintera and Purchaser. Seller is not a party to any contract, nor is it subject to any other obligation that, following the Closing, would prevent Kintera and Purchaser and/or the affiliates of Kintera from using such information in a manner consistent with applicable privacy laws, customer privacy policies and industry standards regarding the disclosure and use of information.

Neither Target nor Predecessor sells, rents or otherwise makes available to third parties any personal information submitted by individuals. Target and Predecessor each has the full power and authority to use and to transfer all rights it has in any third party's personal information in its possession and/or control to Acquiror and Merger Sub. Neither Target nor Predecessor is a party to any contract, nor is either subject to any other obligation that, following the Closing, would prevent Acquiror and Merger Sub and/or the affiliates of Acquiror from using such information in a manner consistent with applicable privacy laws, customer privacy policies and industry standards regarding the disclosure and use of information.
