Utility Services Provided. As of the Possession Date, Landlord will cause the Premises to be served with permanent gas, electric, telephone, potable water, sewer and other utilities sufficient to meet Tenant’s requirements as conducted at the Commencement Date, and Landlord, at Landlord’s sole cost and expense, will cause the necessary mains, conduits, separate meters, and other facilities to be provided in accordance with the requirements of Tenant as conducted at the Commencement Date. After installation of each permanent utility service to the Premises, Tenant shall be responsible for paying the charges for consumption of utility services furnished to the Premises during the Lease term. If Tenant is unable to establish a direct account for a particular utility service, and Landlord is required to supply such utility service to Tenant, then Tenant shall not be required to pay to Landlord more for such utility service charges on a per unit, e.g., kilowatt basis, than the lesser of (i) what Tenant would otherwise be required to pay if such utility service were supplied directly to Tenant by the utility provider of Tenant’s selection (if more than one provider for a particular utility service is available in the market in which the Premises is located), (ii) the actual cost to Landlord charged by the utility service provider for providing such utility service to the Premises, or (iii) if Landlord uses the services of a deregulated utility service provider, the amount that the utility distribution company would otherwise have charged Landlord for such service. If Landlord supplies any utility service to Tenant (including environmental air to the Premises) then, together with Landlord’s utility service invoices to Tenant, Landlord will provide copies of Landlord’s utility bills and Landlord’s computation of Xxxxxx’s share of Landlord’s utility charges.

  • Transportation Services i) In the event that transportation services for a student served by CONTRACTOR pursuant to an Individual Services Agreement are to be provided by a party other than CONTRACTOR or the LEA or its transportation providers, such services shall be reflected in a separate agreement signed by the parties hereto, and provided to the LEA and SELPA Director by the CONTRACTOR. Except as provided below, CONTRACTOR shall compensate the transportation provider directly for such services, and shall charge the LEA for such services at the actual and reasonable rates billed by the transportation provider, plus a ten percent (.10) administrative fee, unless a “flat rate” is provided in the transportation contract. In the event that the transportation provider notifies the LEA or SELPA Director that CONTRACTOR is more than 90 days behind in payment for transportation services, LEA shall have the right, in its sole and exclusive discretion, but not the obligation, to make payment for such services directly to the transportation provider, and to deduct such payments from any sums owed to CONTRACTOR pursuant to this Master Contract and any Individual Services Agreement between the parties. In the event that the LEA makes direct payment of the transportation provider’s charges, it shall be entitled to withhold both the transportation charges themselves and such additional amount as shall be reasonably necessary to compensate the LEA for the staff and other costs incurred in making direct payment of those charges. The remedies provided to the LEA pursuant to this Paragraph shall not be exclusive. CONTRACTOR shall not include transportation through the use of services or equipment owned, leased or contracted through the LEA unless expressly provided in the Individual Services Agreement for the student transported.

  • Approved Services; Additional Services Registry Operator shall be entitled to provide the Registry Services described in clauses (a) and (b) of the first paragraph of Section 2.1 in the Specification 6 attached hereto (“Specification 6”) and such other Registry Services set forth on Exhibit A (collectively, the “Approved Services”). If Registry Operator desires to provide any Registry Service that is not an Approved Service or is a material modification to an Approved Service (each, an “Additional Service”), Registry Operator shall submit a request for approval of such Additional Service pursuant to the Registry Services Evaluation Policy at xxxx://xxx.xxxxx.xxx/en/registries/rsep/rsep.html, as such policy may be amended from time to time in accordance with the bylaws of ICANN (as amended from time to time, the “ICANN Bylaws”) applicable to Consensus Policies (the “RSEP”). Registry Operator may offer Additional Services only with the written approval of ICANN, and, upon any such approval, such Additional Services shall be deemed Registry Services under this Agreement. In its reasonable discretion, ICANN may require an amendment to this Agreement reflecting the provision of any Additional Service which is approved pursuant to the RSEP, which amendment shall be in a form reasonably acceptable to the parties.
