Vacation Accrual and Annual Leave Buy Back. Xxxxx-Xxxxx shall accrue twelve (12) days of vacation time per year starting on April 27 at a rate of eight (8) hours per month. In order to provide essential services to the District, Xxxxx-Xxxxx may not be able to use all of her earned vacation in a year and/or may be unable to schedule vacation at a desirable time. In consideration of such circumstances, at Xxxxx-Xxxxx’x election, Xxxxx-Xxxxx may sell back up to six (6) vacation days accrued but not used during the fiscal year, to the Board, annually on June 30th, and the Board shall pay Xxxxx-Xxxxx for up to six (6) vacation days at one hundred percent (100%) of Xxxxx-Xxxxx’x current base salary for each vacation day sold back. The accrual of additional vacation days based upon tenure with the School District shall be governed by the personnel policies and procedures applicable to other employees of the School District, as they may exist or hereinafter may be amended from time to time.

  • Definitions For purposes of this Agreement:

  • Term The term of this Agreement will be ten (10) years from the Effective Date (as such term may be extended pursuant to Section 4.2, the “Term”).

  • Insurance The Company and the Subsidiaries are insured by insurers of recognized financial responsibility against such losses and risks and in such amounts as are prudent and customary in the businesses in which the Company and the Subsidiaries are engaged, including, but not limited to, directors and officers insurance coverage.   • WHEREAS the Company desires the Warrant Agent to act on behalf of the Company, and the Warrant Agent is willing to so act, in connection with the issuance, registration, transfer, exchange, redemption and exercise of the Warrants; and

  • Severability Any provision of this Agreement that is prohibited or unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions hereof, and any such prohibition or unenforceability in any jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction.
