Waiver of Notice Requirement. (i) Written Waiver, Consent or Approval. Notice of a special meeting need not be given to any member who, either before or after the meeting, signs a waiver of notice or a written consent to the holding of the special meeting, or an approval of the minutes of the special meeting. Such waiver, consent or approval need not specify the purpose of the special meeting. All such waivers, consents, and approvals shall be filed with the Joint Planning Board records or made a part of the minutes of the special meetings.
Waiver of Notice Requirement. Each of the Company and the Manager hereby (i) agree that this Amendment constitutes all required notice of termination of the Management Agreement pursuant to the terms of the Management Agreement, and (ii) waives, whether exercisable now or at any time in the future, any and all rights to notice under the Management Agreement, to the extent relating to the transactions contemplated by this Amendment or the Merger Agreement.
Waiver of Notice Requirement. The 10 Business Days' prior notice required under Section 2.27.1 of the Credit Agreement with respect to a Commitment Increase is hereby waived.
Waiver of Notice Requirement. The parties hereto agree that the Company’s notice requirements set forth in Section 2.24(a) of the Credit Agreement are hereby waived and shall not be applicable to the Extension.
Waiver of Notice Requirement. A. By executing this Amendment the Requisite Lenders hereby waive the requirements of Section 2.24 of the Credit Agreement solely relating to the 10 Business Days notice period with respect to any utilization of New Term Loan Commitments in an aggregate amount of up to $30,000,000 no later than August 31, 2006.
B. By executing this Amendment the Requisite Lenders hereby waive the requirements of clause (vi) of the definition of “Permitted Acquisition” in Section 1.1 of the Credit Agreement solely relating to the 10 Business Days notice period with respect to any acquisitions consummated as of the First Amendment Effective Date through July 21, 2006, so long as the remaining conditions set forth in such definition are satisfied.
Waiver of Notice Requirement. Attendance of a Member at any meeting shall constitute a waiver of notice of such meeting, except where a Member attends a meeting for the express purpose of objecting to the transaction of any business on the ground that the meeting is not lawfully called or convened, and such Member raises such objection promptly following the start of the meeting.
Waiver of Notice Requirement. The Company waives its right to require strict compliance with the notice requirements of Article III, Paragraph 7 of the Employment Agreement.
Waiver of Notice Requirement. Administrative Agent and Lenders hereby waive the 45 day written notice requirement set forth in Section 2.2(a) to the Existing Credit Agreement in connection with Borrower’s proposal to increase the Commitments, which increase shall become effective as of the Effective Date in accordance with the terms of this Amendment.
PART III CONDITIONS TO EFFECTIVENESS OF PART II
Waiver of Notice Requirement. Each of the Company and the Manager hereby (i) agree that this Agreement constitutes all required notice required with respect to the Termination and the other transactions contemplated hereby pursuant to the terms of the Prior Management Agreement, and (ii) waives, whether exercisable now or at any time in the future, any and all rights to notice under the Prior Management Agreement, to the extent relating to the transactions contemplated by this Agreement or the Merger Agreement.
Waiver of Notice Requirement. The parties waive any advance notice requirement that otherwise would apply to the transfer by Lupixx xx the Shares to the Partnership.
