Waiver, Release and Covenant Not to Xxx. Notwithstanding anything to the contrary in this Amendment, the Purchase Agreement, the Ancillary Agreements or any other agreements between Purchaser and Seller, and in consideration for the Seller agreeing that the First Milestone is met and paying the First Milestone Payment to Buyer, Seller hereby waives all rights it had or may have had and hereby discharges and forever releases Purchaser (including each of its former, current or future affiliates, parents, subsidiaries, directors, officers, shareholders, employees, agents, constituents, clients, attorneys, insurers, predecessors, successors, and assigns) from any and all claims, demands, damages and/or causes of action of any nature or description whatsoever, known or unknown, liquidated or unliquidated, that it may have had, now has, or may in the future have based on past, present or further conduct, action or inaction on the part of Purchaser and arising out of or in any way related to Purchaser’s efforts to achieve the Milestones (“Claims”); provided, however, that, subject to AMS’s rights under Section 2(a) of the License Amendment, the foregoing release shall not cover any Claims that relate to the failure to pay royalties that become due from AMS on future sales of Licensed Products under the Amended License Agreement, as amended by the License Amendment. Seller further covenants and expressly agrees not to prosecute or participate in any suit, action, cause of action or proceeding related to Claims of any kind against Purchaser or any of its former, current or future affiliates, parents, subsidiaries, directors, officers, shareholders, employees, agents, constituents, clients, attorneys, insurers, predecessors, successors, and assigns.”

Waiver, Release and Covenant Not to Xxx. The undersigned Volunteer hereby waives all claims of liability that Volunteer or Volunteer's legal representatives, heirs, successors, and assigns may have against Xxxxx Mae Foundation, its officers, agents, directors, employees, legal representatives, Volunteers and their successors and assigns. The undersigned Volunteer further releases Xxxxx Xxx Foundation and its officers, agents, directors, employees, legal representatives, Volunteers and, if applicable, owners and lessors of premises on which the Activities take place, including but not limited to the shelter at Conn. Trail Kennels, 0000 Xxxxxx Xxxxxxxx, Xxxxxx, Connecticut and their successors and assigns, from all liability, claims, responsibility, losses or damages for personal injury, including death, and damage to or loss of property, that the Volunteer may incur due in whole or in part to the negligence of Xxxxx Mae Foundation, its officers, employees, agents or representatives or others while visiting the Xxxxx Xxx shelter or otherwise engaging in Activities pursuant to the Agreement. The Volunteer agrees that if the Volunteer ever considers or decides to initiate a lawsuit, administrative complaint or charge or commence any sort of action or proceeding whatsoever against Xxxxx Xxx Foundation or its current and former officers, agents, directors, employees, legal representatives, Volunteers and their successors and assigns at any time, the Volunteer will notify Xxxxx Mae Foundation of such consideration or decision and give Xxxxx Xxx Foundation ninety (90) days to resolve the issue before pursuing any such claim or action.
Waiver, Release and Covenant Not to Xxx. In consideration for the opportunity to compete in the Competition, Participant hereby releases, waives, discharges and covenants not to xxx Releasees from any and all present and future liability, claims, demands, actions and causes of action whatsoever arising out of or related to any loss, damage, loss of property or revenue or profits, whether direct, indirect, or consequential, or injury, including death, that may be sustained by Participant, or to any property belonging to Participant, while participating in the Competition, REGARDLESS OF WHETHER SUCH LOSS IS CAUSED BY THE NEGLIGENCE OF THE RELEASEES, or otherwise and regardless of whether such liability arises in tort, contract, strict liability, or otherwise, to the fullest extent allowed by law, except in the case of gross negligence or willful misconduct on the part of the Releasees.

  • Release and Covenant Not to Xxx Effective as of the Closing, to the fullest extent permitted by applicable Law, each Seller, on behalf of itself and its Affiliates and any Person that owns any share or other equity interest in or of such Seller (the “Releasing Persons”), hereby releases and discharges the Target Companies from and against any and all Actions, obligations, agreements, debts and Liabilities whatsoever, whether known or unknown, both at law and in equity, which such Releasing Person now has, has ever had or may hereafter have against the Target Companies arising on or prior to the Closing Date or on account of or arising out of any matter occurring on or prior to the Closing Date, including any rights to indemnification or reimbursement from a Target Company, whether pursuant to its Organizational Documents, Contract or otherwise, and whether or not relating to claims pending on, or asserted after, the Closing Date. From and after the Closing, each Releasing Person hereby irrevocably covenants to refrain from, directly or indirectly, asserting any Action, or commencing or causing to be commenced, any Action of any kind against the Target Companies or their respective Affiliates, based upon any matter purported to be released hereby. Notwithstanding anything herein to the contrary, the releases and restrictions set forth herein shall not apply to any claims a Releasing Person may have against any party other than the Company pursuant to the terms and conditions of this Agreement or any Ancillary Document.

  • Covenant Not to Sxx The parties covenant that under no conditions will any party or any affiliate file any action against the other (except only requests for injunctive or other equitable relief) in any forum other than before the American Arbitration Association, and the parties agree that any such action, if filed, shall be dismissed upon application and shall be referred for arbitration hereunder with costs and attorney's fees to the prevailing party.

Any of the transactions set forth in the forgoing sentence not so approved shall be null and void and shall not be registered in the Company’s Shareholders Register. Employee further agrees that Employee will not file or permit to be filed on Employee’s behalf any such claim. Notwithstanding the preceding sentence or any other provision of this Agreement, this release is not intended to interfere with Employee’s right to file a charge with the Equal Employment Opportunity Commission (the “EEOC”), or other comparable agency, in connection with any claim Employee believes Employee may have against Matador or its affiliates. However, by executing this Agreement, Employee hereby waives the right to recover in any proceeding Employee may bring before the EEOC or any state human rights commission or in any proceeding brought by the EEOC or any state human rights commission on Employee’s behalf. This release shall not apply to any of Matador’s obligations under this Agreement or post-termination obligations under the Employment Agreement, any vested retirement plan benefits, any vested equity grants or COBRA continuation coverage benefits. Such claims, obligations, or liabilities include, but are not limited to: claims for compensation allegedly due or owing; claims sounding in contract or implied contract; claims for wrongful dismissal; claims sounding in tort; claims arising under common law, civil law, equity, or federal, state, or local statutes or ordinances, including but not limited to, the Age Discrimination in Employment Act, as amended; Title VII of the Civil Rights Act of 1964, as amended; the Civil Rights Act of 1991; Section 1981 of the Civil Rights Act of 1866; the Equal Pay Act; the Americans with Disabilities Act and/or the Rehabilitation Act of 1973; the Employee Retirement Income Security Act; the WARN Act; the Consolidated Omnibus Budget Reconciliation Act; the Family Medical Leave Act, as amended; the Genetic Information Nondiscrimination Act of 2008; state statutes governing the payment of wages, discrimination in the workplace, or any other statute or laws governing the employer-employee relationship, including but not limited to, the New York State Human Rights Law, the New York Labor Law, the New York State Constitution, the New York Civil Rights Law, the New York wage-hour laws, the New York City Human Rights Law; the Virginia Human Rights Act; the North Carolina Equal Employment Practices Act, the North Carolina Persons with Disabilities Protection Act, the North Carolina Retaliatory Employment Discrimination Act, the North Carolina Wage & Hour Act; any other claim pursuant to any other federal, state or local employment laws, statutes, standards or human rights legislation; or any claim for severance pay, notice, pay in lieu of notice, salary, bonus, incentive or additional compensation, vacation pay, insurance, other benefits, interest, and/or attorney’s fees. You acknowledge that this general release is not made in connection with any exit incentive or other employment termination program offered to a group or class of employees. Notwithstanding the foregoing, nothing in this Agreement waives your right to (a) pursue a claim that cannot be released by private agreement, including, workers compensation claims, claims arising after the date on which you sign this Agreement, and your right to file administrative charges with certain government agencies; and (b) challenge the Company’s failure to comply with its obligation in Paragraph 1 above.

  • Limited Covenant Not to Compete During the Employment Term and for a period of two years thereafter, commencing with the Date of Termination, Employee agrees that, with respect to each State of the United States or other jurisdiction, or specified portions thereof, in which the Employee regularly (a) makes contact with customers of the Company or any of its subsidiaries, (b) conducts the business of the Company or any of its subsidiaries or (c) supervises the activities of other employees of the Company or any of its subsidiaries, as identified in Appendix B attached hereto and forming a part of this Agreement, and in which the Company or any of its subsidiaries engages in the Death Care Business on the Date of Termination (collectively, the "Subject Areas"), Employee will restrict his activities within the Subject Areas as follows:
