Weekly Forecasts. By 0900 Hawaii time on Sunday of the week on which electric energy from the Facility is to be delivered, Seller shall provide Company with an hourly forecast of deliveries for each hour of the day for the ensuing week (Monday to Sunday). Seller shall update a forecast any time information becomes available indicating a change in the forecast of generation of Actual Output from the then current forecast; provided, however, that Seller shall not be required to update such forecasts more frequently than once per hour.
Weekly Forecasts. No later than 12:00 PM (Charlotte, North Carolina time) on Thursday of each week (or if such day is not a Business Day, the immediately succeeding Business Day), (i) the budget of the Borrower and its Subsidiaries for the 13 weeks beginning the next succeeding Monday (each, a "13-Week Forecast"), which shall set forth the Borrower's anticipated uses and sources of funds for such weeks and shall be satisfactory in form and substance to the Administrative Agent in the Administrative Agent's sole discretion, and (ii) a variance report for the preceding week (each, a "Variance Report"), which shall set forth the variance between anticipated uses and sources of funds of the Borrower and its Subsidiaries for such week as set forth in the 13-Week Forecast last delivered to the Administrative Agent prior to such week, and the actual uses and sources of funds of the Borrower and its Subsidiaries for such week, and shall be satisfactory in form and substance to the Administrative Agent in the Administrative Agent's sole discretion. The Borrower shall use commercially reasonable efforts to expend funds during each week in substantial conformity with the categories and amounts of expenditures reflected in the 13-Week Forecast most recently delivered and which includes such week.
Weekly Forecasts. Commencing fourteen (14) days prior to the anticipated Initial Delivery Date, and throughout the Delivery Period, Seller and/or Designated Agent shall update the Attachment 3 [Facility Expected Energy Production] table, and deliver to Buyer and/or Designated Agent on a weekly basis and in a form reasonably acceptable to Buyer, one (1) month rolling forecasts of Energy production by the Facility, which forecasts shall be prepared in good faith and in accordance with Good Utility Practice based on historical performance, weather forecasts, maintenance schedules, Seller's other generation projections, and other relevant data and considerations. Any notable changes from prior forecasts or historical energy delivery shall be noted and an explanation provided.
Weekly Forecasts. In furtherance of Section 4.2.11 of the Loan Agreement, as soon as practicable hereafter, by not later than September 28, 2001, the U.S. Borrower shall provide Lender with thirteen (13) week cash flow projections for the U.S. Borrower and its Subsidiaries, which the U.S. Borrower shall update (roll forward and reconcile) on a weekly basis thereafter by the second Business Day of each calendar week for the preceding calendar week.
Weekly Forecasts. The Company has delivered to the Buyer (i) weekly projections and forecasts of cash receipts and disbursements for the Company and its Subsidiaries through December 31, 2004 (the "Weekly Forecasts"), and (ii) an accounts payable aging report as of July 9, 2004 (the "Payables Report") attached hereto as Schedule B. The Weekly Forecasts have been prepared in good faith based upon reasonable estimates and assumptions, have been prepared on the basis of the assumptions stated therein and reflect the reasonable estimates of the Company of the results of operations and other information projected therein. To the best knowledge of the Company, no facts exist that (individually or in the aggregate) would result in any material change in any of such projections..
