Common use of WELFARE PLAN Clause in Contracts

WELFARE PLAN. Welfare Plan" shall mean any "employee welfare benefit plan" as defined in Section 3(1) of ERISA, (A) which the Company, any Subsidiary or any ERISA Affiliate maintains, administers, contributes to or is required to contribute to, or under which the Company, any Subsidiary or any ERISA Affiliate may incur any liability and (B) which covers any employee or former employee of the Company, any Subsidiary or any ERISA Affiliate (with respect to their relationship with such entities).

WELFARE PLAN. “Welfare Plan" ” shall mean any "“employee welfare benefit plan" ” as defined in Section 3(1) of ERISA, (A) which the Company, any Subsidiary or any ERISA Affiliate Seller maintains, administers, contributes to or is required to contribute to, or under which the Company, any Subsidiary or any ERISA Affiliate may incur any liability and (B) which covers any employee or former employee of the Company, any Subsidiary or any ERISA Affiliate (with respect to their relationship with such entities)Seller.

WELFARE PLAN. “Welfare Plan" ” shall mean any "“employee welfare benefit plan" ” as defined in Section 3(1) of ERISA, ERISA (Aother than a Multiemployer Plan) which the Company, any Subsidiary Company or any ERISA Affiliate of its Subsidiaries sponsors, maintains, administers, contributes to to, or is required obligated to contribute to, or under which the Company, any Subsidiary or any ERISA Affiliate may incur any liability and (B) which covers any employee current or former employee of the Company, any Subsidiary Company or any ERISA Affiliate (with respect to their relationship with such entities)of its Subsidiaries.

WELFARE PLAN. “Welfare Plan" ” shall mean any "“employee welfare benefit plan" ” as defined in Section 3(1) of ERISA, (A) which the Company, any Subsidiary Company or any ERISA Affiliate of its Subsidiaries maintains, administers, contributes to or is required to contribute to, to or under which the Company, any Subsidiary Company or any ERISA Affiliate of its Subsidiaries has or may incur have any liability liability, and (B) which covers any employee, terminated employee, leased employee or former employee leased employee, director, officer, stockholder of independent contractor of the Company, any Subsidiary Company or any ERISA Affiliate of its Subsidiaries (with respect to their relationship with such entities).

WELFARE PLAN. “Welfare Plan" ” shall mean any "“employee welfare benefit plan" ” as defined in Section 3(13(3) of ERISA, (A) which the Company, any Subsidiary Holdings or any ERISA Affiliate of its Subsidiaries maintains, administers, contributes to or is required to contribute to, or under which the Company, any Subsidiary or any ERISA Affiliate may incur any liability and (B) which covers any employee current or former employee employees, consultants, or directors of the Company, any Subsidiary Holdings or any ERISA Affiliate of its Subsidiaries or their beneficiaries or dependents (with respect to their relationship with such entities).

WELFARE PLAN. “Welfare Plan" ” shall mean any "“employee welfare benefit plan" ” as defined in Section 3(1) of ERISA, (A) which the Company, any Subsidiary or any ERISA Affiliate Seller maintains, administers, contributes to or is required to contribute to, or under which the Company, any Subsidiary or any ERISA Affiliate may incur any liability and (B) which covers any employee or former employee of the Company, any Subsidiary or any ERISA Affiliate (with respect to their relationship with such entities).

The term "Welfare Plan" shall mean any "employee each welfare benefit plan" plan (as defined in Section 3(1) of ERISA, (A) which the Company, any Subsidiary established or any ERISA Affiliate maintains, administers, contributes to or is required to contribute tomaintained, or under to which any contributions are or were made, by the Company, any Subsidiary Company or any ERISA Affiliate may incur any liability and (B) which covers any employee or former employee Subsidiaries of the Company, any Subsidiary or any ERISA Affiliate (with respect to their relationship with such entities)which the Company or any of its Subsidiaries has any liability.

WELFARE PLAN. Welfare Plan" shall mean any "employee welfare benefit plan" plan (as defined in Section 3(1) of ERISA, (A) which the Company, any Subsidiary ERISA or any ERISA Affiliate maintainssimilar welfare benefit plan under the laws of any foreign jurisdiction, administerswhether or not excluded from coverage under specific Titles or Subtitles of ERISA), contributes to or is required to contribute to, or under which for the Company, benefit of any Subsidiary or any ERISA Affiliate may incur any liability and (B) which covers any employee current or former employee employees or directors of any of the Company, any Subsidiary or any ERISA Affiliate (with respect to their relationship with such entities)Acquired Corporations.
