West St. Xxxx shall collect the building permit fees and electrical permit fees and distribute and allocate those fees to West St. Xxxx and Sunfish Lake, pursuant to Section 7, hereof; provided, however, and notwithstanding anything to the contrary contained in Section 7 of the Agreement, the electrical permit fees and electrical inspection fees shall be retained by West St. Xxxx, and shall not be distributed and allocated to Sunfish Lake; such fees may be used by West St. Xxxx to pay an independent contractor inspector to perform the electrical inspections; pursuant to Section 13(j) of the Agreement. Sunfish Lake consents and grants its written approval to West St. Xxxx to contract with an independent contractor to perform the electrical inspections required. .

West St. Xxxx agrees to defend, indemnify, and hold harmless Sunfish Lake, and its officials, agents, and employees, from and against all claims, actions, damages, losses, and expenses arising out of or resulting from West St. Xxxx’s performance of the services required under this Agreement, provided that any such claim, action, damage, loss, or expense is attributable to bodily injury, sickness, disease, or death or to the injury to or destruction of property including the loss of use resulting therefrom and is caused in whole or in part by any negligent act or omission or willful misconduct of West St. Xxxx. This provision shall not be construed as a waiver by either party of any defenses, immunities, or limits on liability with respect to claims made by third parties.

  • Asset Management Supplier will: i) maintain an asset inventory of all media and equipment where Accenture Data is stored. Access to such media and equipment will be restricted to authorized Personnel; ii) classify Accenture Data so that it is properly identified and access to it is appropriately restricted; iii) maintain an acceptable use policy with restrictions on printing Accenture Data and procedures for appropriately disposing of printed materials that contain Accenture Data when such data is no longer needed under the Agreement; iv) maintain an appropriate approval process whereby Supplier’s approval is required prior to its Personnel storing Accenture Data on portable devices, remotely accessing Accenture Data, or processing such data outside of Supplier facilities. If remote access is approved, Personnel will use multi-factor authentication, which may include the use of smart cards with certificates, One Time Password (OTP) tokens, and biometrics.
