Without prejudice to Article. II.3 any reference made to the Contractor’s staff in the Contract shall relate exclusively to individuals involved in the performance of the Contract.
Without prejudice to Article. 19.4 (Dispute Settlement - Consultations), a Party may request consultations with the other Party regarding any matter arising under this Agreement that affects financial services. The other Party shall give sympathetic consideration to the request. The Parties shall report the results of their consultations to the Sub-Committee. Consultations under this Article and consultations under Article 19.4 (Dispute Settlement - Consultations), that affect financial services shall include officials specified in paragraph 3 of Article 11.10.
Without prejudice to Article. 7.3, the Parties understand and agree that the piloting and line handling Services will be rendered directly by Service Provider as it has the technical capability and organization to perform them and that such Services will be performed by the named Service Provider autonomously without any technical direction by ALNG. Therefore, any liability arising out or connected with the provision of such Services should remain exclusively with the Service Provider in accordance with the relevant provisions of applicable law and any claim for such damages may be addressed and forwarded directly to Service Provider.
Without prejudice to Article. 14.1.1, the Concessionaire shall:
(a) promptly inform the Grantor of any anticipated deviations from any Milestones stipulated in the Project Schedule; and
(b) provide the Grantor with monthly written reports regarding the progress of the Works based on the Project Schedule.
Without prejudice to Article but notwithstanding the foregoing or any other provision of this Agreement, IKON shall not be under any obligation to vest in or assign to Executive any powers or duties and may require Executive to perform:
Without prejudice to Article. 11.1 above, in any case subject to any relevant provision under the Intercreditor Agreement, the Credit Agreement, the Revolving Guarantee or the Notes Documentation the relevant Financial Collateral shall be automatically released from the Pledge upon (a) any sale or other transfer by the Pledgor of any Financial Collateral that is permitted under the Credit Agreement, the Revolving Guarantee and the Indenture, or (b) upon the effectiveness of any written consent to the release of the Financial Collaterals from the Pledge pursuant to Section 9.02 of the Credit Agreement and Section IX of the Indenture or (c) in the other cases provided under the Indenture and the Intercreditor Agreement.
Without prejudice to Article. 12.1 and unless this Agreement provides otherwise, neither Party shall assign, mortgage, charge or otherwise transfer all or any part of its ownership interest in UPA (hereafter the “Transfer”). Any Transfer or attempted Transfer in contradiction of this Agreement shall be null and void and of no force or effect, and the ownership interest that is the subject of such Transfer or attempted Transfer shall be deemed to be offered to the Non-Offering owner pursuant to provision below, provided that the notice date as stated below shall be the date that the non-transferring owner learns of such Transfer or attempted Transfer.
Without prejudice to Article. 7.1, the beneficiary(ies) grant the contracting authority ( and the European Commission or the Partner country where it is not the contracting authority) the right to use freely and as it sees fit, and in particular, to store, modify, translate, display, reproduce by any technical procedure, publish or communicate by any medium all documents deriving from the action whatever their form, provided it does not thereby breach existing industrial and intellectual property rights.
Without prejudice to Article. 28.1 of the EU Grant Agreement, the Coordinator shall be globally responsible for coordinating the activities of dissemination, exploitation and communication and will be assisted by the Dissemination, Exploitation and Communication Team .
