XX Xxxxxx’x appointment. The Procuring Agency appoints the XX Xxxxxx as a potential supplier of Goods under this Framework Agreement. The XX Xxxxxx is eligible to be considered for the award of a Call-off Contract during the Term of this Framework Agreement. XX Xxxxxx’x obligations The XX Xxxxxx shall continue to offer for supply, to the Purchaser, for the Term of this Framework Agreement, the Goods, including any Related Services if applicable, described in the Framework Agreement Schedule 1: Schedule of Requirements. The XX Xxxxxx undertakes to supply the Goods under a Call-off Contract placed with the XX Xxxxxx by the Purchaser. The Goods supplied must be: of the exact quality, type and as otherwise specified in the Framework Agreement, Schedule 1 at the Contract Price specified in the Call-off Contract, and in such quantities, at such times and to such locations as specified in the Call-off Contract. The XX Xxxxxx agrees that the Call-Off Contract General Conditions of Contract set out in the Framework Agreement, Schedule 4, and any Call-off Contract Special Conditions of Contract set out in a Call-off Contract, shall apply to the supply of Goods and Related Services, if any. The XX Xxxxxx agrees that it will not, in its dealings with the Purchaser, seek to impose or rely on any other contractual terms which in any way vary or contradict the relevant Call-off Contract General and Special Conditions of Contract. No obligation, expectation or exclusivity The XX Xxxxxx acknowledges that: There is no obligation on the Procuring Agency or Purchaser(s) to purchase any Goods from the XX Xxxxxx during the Term of this Framework Agreement. No undertaking or any form of statement, promise, representation or obligation has been made by the Procuring Agency in respect of the total quantities or value of the Goods that may be ordered by it under this Framework Agreement. The XX Xxxxxx acknowledges and agrees that it has not entered into this Framework Agreement on the basis of any such undertaking, statement, promise or representation. In entering this Framework Agreement, no form of exclusivity has been granted by the Procuring Agency to the XX Xxxxxx. The Purchaser is, at all times, entitled to enter into other contracts and agreements with other FA Holders for the provision of any or all goods which are the same as or similar to the Goods and any Related Services, described in Schedule 1.

  • Type of Appointment The employee type of appointment (e.g., Career Conditional (CC), Career (C), Temporary (Temp.), Schedule A, etc.).

  • Acceptance of appointment The Adviser accepts that appointment and agrees to render the services herein set forth, for the compensation herein provided. The assets of the Allocated Portion will be maintained in the custody of a custodian (who shall be identified by the Manager in writing). The Adviser will not have custody of any securities, cash or other assets of the Fund and will not be liable for any loss resulting from any act or omission of the custodian other than acts or omissions arising in reliance on instructions of the Adviser.
