The Partner guarantees that such consent also applies to the cross- border transfer of personal data of Unilever Rus LLC in states that do not provide adequate protection of the rights of personal data subjects, as well as states that are parties to the Council of Europe Convention for the Protection of Individuals with regard to Automatic Processing of Personal Data, as well as states that provide adequate protection of the rights of personal data subjects. The Partner is obliged to provide proof of receipt of such consent upon Unilever’s request. The above consent is provided without time limit. Consent is given for processing provided for by the legislation on personal data, including collection, recording, storage, clarification, use, transfer, destruction. Обработка персональных данных. For the purpose of the fulfilment of the terms hereof, the Client shall agree to provide and give his/her consent to the processing of his/her personal data (“Personal Data”) in accordance with the terms hereof. Personal Data shall defined as meaning any personal information independently provided by the Client relating to himself/herself within the eLama System, and shall include details provided during his/her Registration including, but not limited to the client’s, surname, email address and contact phone numbers. 10.1. Обработка персональных данных. II.9.1 Персональные данные, содержащиеся в Договор, должны обрабатываться в соответствии с Регламентом (EC) № 45/2001 Европейского Парламента и Совета от 18 декабря 2000 г. о защите физических лиц в связи с обработкой персональных данных учреждениями и органами Европейского сообщества и о свободном перемещении таких данных. Такие данные должны обрабатываться операторами персональных данных исключительно с целью исполнения Договор, а также его контроля и мониторинга. Указанное не должно влиять на их возможную передачу органам, уполномоченным осуществлять мониторинг и проверку применения законодательства Евросоюза. II.9.2 Подрядчик имеет право доступа к своим персональным данным и право вносить исправления в такие данные. Все запросы, касающиеся обработки персональных данных Подрядчика, он должен направлять Оператору персональных данных. II.9.3 Подрядчик имеет право в любое время обратиться в Европейское управление по надзору за защитой персональных данных (EDPS). II.9.4 Если в соответствии с Договор от Подрядчика требуется обработка персональных данных, Подрядчик вправе делать это только под надзором оператора персональных данных, в частности, в отношении целей обработки, категорий данных, которые могут обрабатываться, получателей данных и способов осуществления прав субъектов персональных данных. II.9.5 Подрядчик обязан предоставлять персоналу доступ к данным в строго ограниченном объеме, необходимом для исполнения Договор, а также его управления и мониторинга. II.9.6 Подрядчик обязан принять надлежащие технические и организационные меры безопасности, с надлежащим учетом рисков, присущих обработке персональных данных, а также с учетом характера соответствующих персональных данных, для того, чтобы: (a) предотвращать несанкционированный доступ лиц к компьютерным системам, обрабатывающим персональные данные, в частности: (i) несанкционированное чтение, копирование, изменение или удаление носителей данных; (ii) несанкционированный ввод данных, а также несанкционированное раскрытие, изменение или стирание хранящихся персональных данных; (iii) несанкционированное использование систем обработки данных с помощью средств передачи данных; (b) обеспечить доступ правомочных пользователей систем обработки данных только к тем персональным данным, к которым относится их право доступа; (c) вести учет того, какие персональные данные были переданы, когда и кому; (d) обеспечить обработку персональных данных от имени третьих лиц только способом, указанным Организатором тендер...

  • Advances (a) The Servicer shall determine on or before each Servicer Advance Date whether it is required to make an Advance pursuant to the definition thereof. If the Servicer determines it is required to make an Advance, it shall, on or before the Servicer Advance Date, either (i) deposit into the Certificate Account an amount equal to the Advance or (ii) make an appropriate entry in its records relating to the Certificate Account that any Amount Held for Future Distribution has been used by the Servicer in discharge of its obligation to make any such Advance. Any funds so applied shall be replaced by the Servicer by deposit in the Certificate Account no later than the close of business on the next Servicer Advance Date. The Servicer shall be entitled to be reimbursed from the Certificate Account for all Advances of its own funds made pursuant to this Section 4.01 as provided in Section 3.09. The obligation to make Advances with respect to any Mortgage Loan shall continue if such Mortgage Loan has been foreclosed or otherwise terminated and the Mortgaged Property has not been liquidated. The Servicer shall inform the Trustee of the amount of the Advance to be made on each Servicer Advance Date no later than the second Business Day before the related Distribution Date. (b) If the Servicer determines that it will be unable to comply with its obligation to make the Advances as and when described in the second sentence of Section 4.01(a), it shall use its best efforts to give written notice thereof to the Trustee (each such notice an "Advance Notice"; and such notice may be given by telecopy), not later than 3:00 P.M., New York time, on the Business Day immediately preceding the related Servicer Advance Date, specifying the amount that it will be unable to deposit (each such amount an "Advance Deficiency") and certifying that such Advance Deficiency constitutes an Advance hereunder and is not a Nonrecoverable Advance. If the Trustee receives a Trustee Advance Notice on or before 3:00 P.M., New York time on a Servicer Advance Date, the Trustee is entitled to immediately terminate the Servicer under Section 7.01, and shall, not later than 3:00 P.M., New York time, on the related Distribution Date, deposit in the Distribution Account an amount equal to the Advance Deficiency identified in such Trustee Advance Notice unless it is prohibited from so doing by applicable law. Notwithstanding the foregoing, the Trustee shall not be required to make such deposit if the Trustee shall have received written notification from the Servicer that the Servicer has deposited or caused to be deposited in the Certificate Account an amount equal to such Advance Deficiency by 3:00 P.M. New York time on the related Distribution Date. If the Trustee has not terminated the Servicer, the Servicer shall reimburse the Trustee for the amount of any Advance (including interest at the Prime Rate on the day of such reimbursement published in The Wall Street Journal) on such amount, made by the Trustee pursuant to this Section 4.01(b) not later than the second day following the related Servicer Advance Date. In the event that the Servicer does not reimburse the Trustee in accordance with the requirements of the preceding sentence, the Trustee shall immediately (a) terminate all of the rights and obligations of the Servicer under this Agreement in accordance with Section 7.01 and (b) subject to the limitations set forth in Section 3.05, assume all of the rights and obligations of the Servicer hereunder. (c) The Servicer shall, not later than the close of business on the Business Day immediately preceding each Servicer Advance Date, deliver to the Trustee a report (in form and substance reasonably satisfactory to the Trustee) that indicates (i) the Mortgage Loans with respect to which the Servicer has determined that the related Scheduled Payments should be advanced and (ii) the amount of the related Scheduled Payments. The Servicer shall deliver to the Trustee on the related Servicer Advance Date an Officer's Certificate of a Servicing Officer indicating the amount of any proposed Advance determined by the Servicer to be a Nonrecoverable Advance.

  • Advance Masterworks will advance all or any portion of the funds necessary to acquire the Artwork to the Company. If Masterworks pays or has paid a deposit or other funds to the seller prior to the acquisition of the Artwork as a prepayment of part of the purchase price, such deposit or funds shall be non-recourse to the Company prior to the acquisition of the Artwork by the Company, at the time of acquisition of the Artwork such amounts, if any, will be deemed to be an advance obligation payable by the Company to Masterworks. An advance may only be used by the Company to purchase the Artwork. The advance will be recorded on the books and records of the Company and Masterworks as an intercompany loan and will not accrue interest. The advance will be repaid in installments upon each closing of the Offering in cash and or a combination of cash and Class A shares of the Company (valued at $20 per share for such purposes). Unless the Parties otherwise agree to a different allocation, each payment that occurs in connection with a closing of the Offering shall be prorated between the true-up and the advance based on the relative size of each obligation. Under no circumstances will any portion of the advance remain as an outstanding obligation of the Company following the final closing of the Offering and the application of the use of proceeds therefrom.

  • Remuneration The Company agrees to pay the Warrant Agent reasonable remuneration for its services as such Warrant Agent hereunder and shall, pursuant to its obligations under this Agreement, reimburse the Warrant Agent upon demand for all expenditures that the Warrant Agent may reasonably incur in the execution of its duties hereunder.

  • At Cost Any of the above services when performed outside regular working hours of Agent may be billed at 150 percent of the above.

  • Salvage All materials which are scrapped or removed in connection with the making of repairs required by Articles 9 or 10 shall be or become the property of Lessor or Lessee depending on which party is paying for or providing the financing for such work.

  • Reasonable I agree and acknowledge that the time limitation on the restrictions in this paragraph, combined with the geographic scope, is reasonable. I also acknowledge and agree that this paragraph is reasonably necessary for the protection of Company’s Proprietary Information as defined in paragraph 1.2 herein, that through my employment I shall receive adequate consideration for any loss of opportunity associated with the provisions herein, and that these provisions provide a reasonable way of protecting Company’s business value which will be imparted to me. If any restriction set forth in this paragraph 4 is found by any court of competent jurisdiction to be unenforceable because it extends for too long a period of time or over too great a range of activities or in too broad a geographic area, it shall be interpreted to extend only over the maximum period of time, range of activities or geographic area as to which it may be enforceable.

  • Advance Payment The right to indemnification conferred in this Article VII shall include the right to be paid or reimbursed by the Company the reasonable expenses incurred by a Person of the type entitled to be indemnified under Section 7.3 who was, is or is threatened to be made a named defendant or respondent in a Proceeding in advance of the final disposition of the Proceeding and without any determination as to the Person’s ultimate entitlement to indemnification; provided, however, that the payment of such expenses incurred by any such Person in advance of the final disposition of a Proceeding shall be made only upon delivery to the Company of a written affirmation by such Person of his or her good faith belief that he has met the standard of conduct necessary for indemnification under Article VII and a written undertaking, by or on behalf of such Person, to repay all amounts so advanced if it shall ultimately be determined that such indemnified Person is not entitled to be indemnified under this Article VII or otherwise.

  • Remuneration and fees In most cases we are paid by commission from the insurer but in some circumstances, we may charge you a fee instead of commission or a combination of both where we arrange policies with a low commission. Where we charge a fee, this will not be liable for insurance premium tax or value added tax (insurance is a VAT exempt industry). All fees will be advised verbally and/or will be included within the Statement of Price document before you incept your policy. We have arrangements with some insurers to receive additional payments reflecting the size and/or profitability of our account with them and/or in respect of work we undertake on their behalf, and we will advise you where this is the case.
