Abbott Net Sales definition

Abbott Net Sales means the total gross sales of the Product (as set forth on the invoice for such Product) by Abbott and permitted Sublicensees (as defined in Section 2.5(d) below) to Third Parties in the given calendar quarter or year, plus, if applicable, the fair market value of all properties and services received in consideration of a sale of Product by Abbott and permitted Sublicensees to Third Parties during such calendar quarter or year, less the following deductions directly paid or incurred by Abbott or its permitted Sublicensees with respect to the sale of the Product in such calendar quarter or year:
Abbott Net Sales means the total gross sales of the Products (as set forth on the invoice for such Products) by Abbott and permitted sublicensees to Third Parties in the given calendar quarter or year, plus, if applicable, the value of all properties and services received in consideration of a Sale of Products by Abbott and permitted sublicensees to Third Parties during such calendar quarter or year, less the following deductions directly paid or incurred by Abbott or its permitted sublicensees with respect to the Sale of the Products in such calendar quarter or year:
Abbott Net Sales means, with respect to any month or Quarterly Period, the gross amount invoiced by Abbott or its Affiliates for OraQuick® ADVANCE™ Devices sold by Abbott or its Affiliates to unaffiliated third parties (a distributor, sub-distributor or agent of Abbott or any of its Affiliates who is not an Affiliate of Abbott or any of its Affiliates, shall be considered such an unaffiliated third party) during such month or Quarterly Period, less (i) trade, cash and quantity discounts and rebates allowed and taken by the unaffiliated third party, (ii) amounts repaid, credited or allowed and taken by the unaffiliated third party on account of returned or rejected OraQuick® ADVANCE™ Devices, recalls, billing errors, or retroactive price reductions or price reductions imposed by governmental authorities, (iii) tariffs, duties, excises and taxes included in the amount charged to the unaffiliated third party, and (iv) freight, insurance and other transportation and shipping costs included in the amount charged to the unaffiliated third party. In the event an OraQuick® ADVANCE™ Device is sold with any other products or services of Xxxxxx, Xxxxxx shall separately itemize and individually price such OraQuick® ADVANCE™ Device on the invoice to the customer and such itemized price shall be used to calculate Abbott Net Sales that includes the sale of such OraQuick® ADVANCE™ Device. In no event shall the same OraQuick® ADVANCE™ Device be included in Xxxxxx’x Net Sales more than once.

  • Combination Products means any product containing both a pharmaceutically active agent or ingredient which constitutes a Licensed Product and one or more other pharmaceutically active agents or ingredients which do not constitute Licensed Products.

For clarity, a Biosimilar of a Licensed Product shall constitute a Generic Version of such Licensed Product.

  • Mercury-added product means a product or product component that contains mercury or a mercury compound that was intentionally added;

  • Covered Products means Your Applications, Libraries, Passes, Safari Extensions, Safari Push Notifications, and/or FPS implementations developed under this Agreement.

  • Aerosol coating product means a pressurized coating product containing pigments or resins that dispenses product ingredients by means of a propellant, and is packaged in a disposable can for hand-held application, or for use in specialized equipment for ground traffic/marking applications.

  • Licensed producer means a person or entity licensed to produce medical cannabis.
