Abbott Stock Programs definition

Abbott Stock Programs means, collectively, the Xxxxxx Laboratories 1996 Incentive Stock Program, the Xxxxxx Laboratories 1991 Incentive Stock Program, and any sub-plan established under those programs in accordance with the laws of any non-U.S. jurisdiction.

Abbott Stock Programs means, collectively, the Abbott Laboratories 2009 Incentive Stock Program, the Abbott Laboratories 1996 Incentive Stock Program, and any incentive compensation program or arrangement that governs the terms of equity-based incentive awards assumed by the Abbott Group in connection with a corporate transaction and that is maintained by the Abbott Group immediately prior to the Distribution Date, and any sub-plans established under those programs.

Examples of Abbott Stock Programs in a sentence

  • The Abbott Compensation Committee shall take the necessary actions on or prior to the Distribution Date to cause the lapse of Restrictions (as defined in the applicable award agreements) with respect to all Abbott restricted stock granted under the Abbott Stock Programs held by each Transferred Employee (retirement eligible and non-retirement eligible) as of the Distribution Date.

  • In such circumstances, the Abbott Options of the affected Non-U.S. Transferred Employees shall terminate in accordance with the terms of the Abbott Stock Programs and the underlying option agreement and Hospira shall equitably compensate the affected Non-U.S. Transferred Employees in an alternate manner determined by Hospira in its sole discretion.

  • Restricted Stock Unit Agreement means the agreement consistent with the terms of the Plan between the Company and the recipient of a Restricted Stock Unit that contains the terms, conditions and restrictions pertaining to such Restricted Stock Unit.

  • Restricted Stock Unit means a bookkeeping entry representing an amount equal to the Fair Market Value of one Share, granted pursuant to Section 8. Each Restricted Stock Unit represents an unfunded and unsecured obligation of the Company.

  • Restricted Stock Units means an Award of stock units subject to such restrictions and conditions as the Administrator may determine at the time of grant.

  • Equity Awards will mean Executive’s outstanding stock options, stock appreciation rights, restricted stock units, performance shares, performance stock units and any other Company equity compensation awards.

  • Company Stock Option Plan means the Company's 1999 Stock Option Plan.

  • Company Equity Plans means the Company’s 1994 Stock Option Plan, 1998 Stock Option Plan, 2000 Stock Option Plan, 2003 Equity Incentive Plan and 2005 Equity Incentive Plan, each as may be amended from time to time, and any stock option agreements, award notices, stock purchase agreements or other agreements or instruments executed and delivered pursuant thereto.

  • Restricted Stock Unit Award Agreement means a written agreement between the Company and a holder of a Restricted Stock Unit Award evidencing the terms and conditions of a Restricted Stock Unit Award grant. Each Restricted Stock Unit Award Agreement will be subject to the terms and conditions of the Plan.

  • Company Equity Awards means the Company Options, Company PSUs and Company RSUs.

  • Restricted Stock Award Agreement means a written agreement between the Company and a holder of a Restricted Stock Award evidencing the terms and conditions of a Restricted Stock Award grant. Each Restricted Stock Award Agreement will be subject to the terms and conditions of the Plan.

  • SIP means Session Initiation Protocol.

  • DSU Plan means the Deferred Share Unit Plan of the Corporation.
