Accepted Shares definition

Accepted Shares has the meaning ascribed to such term in Section 10(a).

Accepted Shares means the Shares declared in a Result Notice as having been the subject of acceptance by the shareholders of the Target, which are to be acquired by the Company in accordance with the terms of the Offer Document.

Accepted Shares means the Shares which are to be acquired by the Company following the definitive tendering to the Offer of such Shares by their holders.

• Within ten (10) days following receipt of the Acceptance Notice, each of the Purchasing Investors shall deliver to the Transferor payment in full for the Accepted Shares purchased by it against delivery by the Transferor to each Purchasing Investor of a certificate or certificates evidencing the Accepted Securities purchased by it.

• No later than ten (10) days after Company’s receipt of payment from Subscriber for the Accepted Shares, the Company will issue the Accepted Shares to Subscriber.

• Within thirty (30) days following the Acceptance Notice, the Company or its permitted assigns shall deliver to the Transferor payment in full for the Accepted Shares purchased by it against delivery by the Transferor to the Company of a certificate or certificates evidencing the Accepted Securities.

• Each Share that is outstanding immediately prior to the Effective Time, but excluding (A) Canceled Shares, (B) Accepted Shares and (C) any Dissenting Shares, shall be automatically converted into the right to receive cash in an amount equal to the Offer Price (the “Merger Consideration”), without interest thereon, pursuant to the terms and conditions set forth in Section 2.9.
