Adjusted Capital Contributions definition

Adjusted Capital Contributions means, with respect to each Member, the excess of that Member’s contribution to the capital of the Company over all prior distributions to the Member that have resulted from Capital Events.
Adjusted Capital Contributions means, as of any day with respect to a Member, such Member’s Capital Contributions, adjusted as follows: (a) Increased by the amount of any Company liabilities which, in connection with distributions to such Member pursuant to Section 3.1 (Distributions Generally) and 11.4 (Dissolution/Application of Proceeds) are assumed by such Member or are secured by any property of the Company distributed to such Member; and (b) Reduced by the amount of cash and the Gross Asset Value (as defined in Section 14.21) of any property of the Company distributed to such Member pursuant to Sections 3.1 (Distributions Generally) and 11.4 (Dissolution/Application of Proceeds) and the amount of any liabilities of such Member assumed by the Company or which are secured by any property contributed by such Member to the Company. (c) If such Member Transfers all or any portion of his Interest in accordance with the terms of this Agreement, his transferee shall succeed to his or its Adjusted Capital Contributions to the extent it relates to the Transferred Interest.
Adjusted Capital Contributions means total Investor Capital Contributions raised in the offering reduced by the cost basis of any Portfolio Company securities (i) distributed to, or liquidated and the proceeds distributed to, the Investors, or (ii) written off with no further attempt being made by the Investment Managers to aid the Portfolio Company but not reduced by net operating losses of the Fund.
