Adjusted Capital Contributions definition

Adjusted Capital Contributions means, as of any day with respect to a Member, such Member’s Capital Contributions, adjusted as follows:
Adjusted Capital Contributions means, with respect to each Member, the excess of that Member’s contribution to the capital of the Company over all prior distributions to the Member that have resulted from Capital Events.
Adjusted Capital Contributions means total Investor Capital Contributions raised in the offering reduced by the cost basis of any Portfolio Company securities (i) distributed to, or liquidated and the proceeds distributed to, the Investors, or (ii) written off with no further attempt being made by the Investment Managers to aid the Portfolio Company but not reduced by net operating losses of the Fund.

  • Upon payment of the sales price to the selling General Partner by the purchasing General Partner, the books of the Partnership shall be adjusted as of the effective date of sale to show the appropriate reductions and increases in the General Partner Adjusted Capital Contributions (and related General Partner Percentages) of the selling and purchasing General Partners.

  • Except as otherwise provided in this Agreement, each Limited Partner shall look solely to the assets of the Partnership for the return of its Adjusted Capital Contributions and shall have no right or power to demand or receive property other than cash from the Partnership.

More Definitions of Adjusted Capital Contributions

Adjusted Capital Contributions means, for each Member, such Member's Capital Contributions to the Company, reduced by the amount of cash and the fair market value of any other asset distributed to such Member pursuant to Section 8.3.(c) and Section 8.4 hereof. Such reduction, however, shall not result in the Adjusted Capital Contribution of any Member being below zero.
Adjusted Capital Contributions means the total of Capital Contributions paid to the Company by a Member, reduced (but not below zero) by all Net Cash Proceeds allocated or distributed to him, her or it.

Adjusted Capital Contributions means capital contributions of the Limited Partners reduced by any cash distribution received by the Limited Partners pursuant to Sections 4.1 or 8.1 of the Partnership Agreement, to the extent such distributions exceed any unpaid priority return as of the date such distributions were made.
