Adjusted NAV definition

Adjusted NAV means the Net Asset Value per Share of the Class I and Class R Distributing Class after the deduction of the Management Fee and all other payments and expenses but before the deduction of any accrued Performance Fee at the end of a Performance Period adjusted by the aggregate amount of all distributions per Share declared in respect of the Distributing Class since the initial issue of Shares in the Class.
Adjusted NAV means NAV adjusted for the effects of the applicable Qualified Offering, determined by the following formula: the quotient of (i) the sum of (A) NAV, multiplied by the number of shares of outstanding Common Stock assuming full conversion of Series D Preferred Stock, plus (B) the net offering proceeds from the Qualified Offering, divided by (ii) the number of shares of Common Stock outstanding after the Qualified Offering.
Adjusted NAV shall have the meaning set forth in Section 2.2.

  • NAV Objective The Fund Manager should achieve a level of Adjusted NAV per Share (as defined below) higher than the reported NAV as at the end of the previous Reporting Period (term used herein as defined in the IMA) (the “NAV Objective”).

Adjusted NAV means, at the relevant date: (a) NAV; (b) less an amount equal to the aggregate of the Company's share capital and the amount standing to the credit of the Company's share premium account as converted (where appropriate) into US dollars at the actual exchange rates at which such subscriptions were converted into US dollars; and (i) less the amount (if any) by which an 8% annual rate of return on the aggregate of the Company's share capital and the amount standing to the credit of the Company's share premium account, calculated from the relevant dates of payment to the Company of such share capital and share premium, exceeds the aggregate of the dividends paid by the Company since its incorporation, inclusive of any tax credit in respect of such dividends; or (ii) aggregating therewith the amount (if any) by which the aggregate of the dividends paid by the Company since its incorporation, inclusive of any tax credit in respect of such dividends, exceeds an 8% annual rate of return on the aggregate of the amount standing to the credit of the Company's share capital and share premium account calculated from the relevant dates of payment of such share capital and share premium.
Adjusted NAV means the net asset value of Plaza Ventures based on the unaudited management accounts of Plaza Ventures for the period from 1 January 2016 to 30 November 2016 (“Management Accounts”), as at 30 November 2016 (“Management Accounts Date”) as adjusted and prepared on the following assumptions and bases:

For the avoidance of doubt, the value and performance of all other current and future positions held by the Funds (i.e., all positions other than the Bausch Positions) will be included in the calculation of Adjusted NAV. The parties agree that Adjusted NAV as of the Start Date will be the NAV of Employer as of December 31, 2023, as reported in the earnings release to be issued on or about the filing date of the Annual Report on Form 10-K filed by Employer for its fiscal year 2023 (“Initial NAV”).
Adjusted NAV means, in respect of a Fund and any day, the net asset value per unit or share of such Fund determined by the Calculation Agent in good faith and in a commercially reasonable manner, taking into account any Crystallisation Event and/or such other factors as the Calculation Agent considers to be appropriate, including, but not limited to:
