Aggregate Common Units definition

Aggregate Common Units means the total number of Common Units outstanding as of the Effective Date after giving effect to the Plan (but excluding all Common Units issued or issuable under the EIP).
Aggregate Common Units. A numeric value equal to the total outstanding Class B Common Units as of the Effective Date. The amount of Aggregate Common Units shall be appropriately reduced, from time to time, to reflect any reduction in the amount of Class B Common Units that occurs as a result of (i) any acquisition of a Class B Common Unit by the Company or its Affiliates or (ii) any exchange of a Class B Common Unit pursuant to Section 5.5.
Aggregate Common Units means the total number of Common Units outstanding as of the Effective Date after giving effect to the Plan (but excluding all Common Units issued or issuable under the EIP). “Agreement” has the meaning set forth in the Preamble. “Alternative Transaction” means any dissolution, winding up, liquidation, reorganization, assignment for the benefit of creditors, merger, transaction, consolidation, business combination, joint venture, partnership, sale of assets, financing (debt or equity), or restructuring of any of the Debtors, other than the Restructuring Transactions. “Antitrust Authorities” means the United States Federal Trade Commission, the Antitrust Division of the United States Department of Justice, the attorneys general of the several states of the United States and any other Governmental Entity, whether domestic or foreign, having jurisdiction pursuant to the Antitrust Laws, and “Antitrust Authority” means any of them. “Antitrust Laws” means the Xxxxxxx Act, the Xxxxxxx Act, the HSR Act, the Federal Trade Commission Act, and any other Law, whether domestic or foreign, governing agreements in restraint of trade, monopolization, pre-merger notification, the lessening of competition through merger or acquisition or anti-competitive conduct, and any foreign investment Laws. “Applicable Consent” has the meaning set forth in Section 4.7. “Audited Financial Statements” has the meaning set forth in Section 4.9. “Available Units” means the Common Units that any Commitment Party fails to purchase as a result of a Commitment Party Default by such Commitment Party. “Bankruptcy Code” has the meaning set forth in the Recitals. “Bankruptcy Court” has the meaning set forth in the Recitals. “Bankruptcy Rules” means the Federal Rules of Bankruptcy Procedure as promulgated by the United States Supreme Court under section 2075 of title 28 of the United States Code, 28 U.S.C. § 2075, as applicable to the Chapter 11 Cases and the general, local, and xxxxxxxx rules of the Bankruptcy Court.

  • Allocations of the Aggregate Common Units will be subject to Article VI.E.4 of the Plan and to the extent deemed unclaimed property thereunder, shall be redistributed as provided by the Plan.

Related to Aggregate Common Units

  • Aggregate Commitment Amount means, as of any date, the aggregate of all Commitment Amounts as of such date. On the Effective Date, the Aggregate Commitment Amount is $125,000,000.

  • Aggregate Commitments means the Commitments of all the Lenders.

  • Aggregate Commitment means the aggregate of the Commitments of all of the Lenders, as reduced or increased from time to time pursuant to the terms and conditions hereof. As of the Effective Date, the Aggregate Commitment is $500,000,000.
