Agreed Contribution Value definition

Agreed Contribution Value means the aggregate amount of Forty Five Million and No/100 Dollars ($45,000,000.00), subject to the adjustments, credits and prorations as provided herein, payable in accordance with the provisions of Section 3.2.

Agreed Contribution Value means the estimated value for each Development Contribution as identified in Column 3 of Schedule 2, and to be indexed quarterly as follows: (a) in respect of a Development Contribution comprising the Dedication Land, the Milperra Community Contribution and the Affordable Housing Contribution – indexed in accordance with the Consumer Price Index (All Groups Sydney) published by the Australian Bureau of Statistics on and from the date of this Agreement, (b) in respect of a Development Contribution comprising a Works in Kind or a payment of Monetary Contribution in lieu – indexed in accordance with the Producer Price Index (Output of Construction Industry) published by the Australian Bureau of Statistics on and from the date of this Agreement. Bank Guarantee means an irrevocable and unconditional undertaking without any expiry or end date in favour of Council to pay an amount or amounts of money to Council on demand issued by: (a) one of the following trading banks: (i) Australia and New Zealand Banking Group Limited; (ii) Commonwealth Bank of Australia; (iii) Macquarie Bank Limited; (iv) National Australia Bank Limited; (v) St Xxxxxx Bank Limited; (vi) HSBC Bank Australia Limited; (vii) Westpac Banking Corporation, or (b) any other financial institution approved by Council in its absolute discretion.

Agreed Contribution Value means the value of the Works specified in Column 3 of the tables in clause 1 and clause 2 in Schedule 3 corresponding to that Item of Work, adjusted annually in accordance with clause 3 of Schedule 3, without regard to any amount payable pursuant to sections 94, 94A and 94EF of the Act. Business Day means a day other than a Saturday, Sunday or bank or public holiday in Sydney, New South Wales. Certifying Authority has the same meaning as in the Act. Consent Authority has the same meaning as in the Act. Contamination means the presence in, on or under land of a substance (whether a solid, liquid or gas) at a concentration above the concentration at which the substance is normally present on, in or under (respectively) land in the same locality, being a presence that presents a risk of harm to human health or to any other aspect of the environment. Construction Certificate means a construction certificate within the meaning of section 109C(1)(b) of the Act. Consultant has the same meaning as in the Records. Consumer Price Index means the All Groups Consumer Price Index, Index numbers, quarterly, for Sydney published by the Australian Bureau of Statistics. Council Land means any land where the Works are to be carried out, including the Railway Street Land, Waltz Street, Xxxxxx Xxxx and the Parking Land. Defect means any error, omission, shrinkage, blemish in appearance or other fault with respect to any Item of Work which adversely affects the ordinary use and/or enjoyment of the particular item.

  • Net Orderly Liquidation Value means, with respect to Inventory of any Person, the orderly liquidation value thereof as determined in a manner acceptable to the Administrative Agent by an appraiser acceptable to the Administrative Agent, net of all costs of liquidation thereof.

Under the adjustment, an amount equal to the product of (A) the excess of the sum of the fractions over one (1.0) times (B) the denominator of this fraction, will be permanently subtracted from the numerator of this fraction. The adjustment is calculated as of the end of the last Limitation Year beginning before January 1, 1987, and disregarding any changes in the terms and conditions of the Plan made after May 5, 1986, but using the section 415 limitation applicable to the first Limitation Year beginning on or after January 1, 1987. The Annual Additions for any Limitation Year beginning before January 1, 1987 shall not be recomputed to treat all Employee contributions as Annual Additions.
