Allocated Services Provider Fee Base Rate definition

Allocated Services Provider Fee Base Rate on the Closing Date shall be $[***] and shall be increased by 2.0% on each July 31, commencing July 31, 2022.
Allocated Services Provider Fee Base Rate means, on the Closing Date, an amount equal to $[***] and on each January 1 commencing January 1, 2020 shall be increased by [***]%.
Allocated Services Provider Fee Base Rate on the Closing Date will be (i) $[***] plus (ii) if the Solar Asset has Energy Storage Systems, the quotient of (a) $[***] divided by (b) the DC kW of installed nameplate capacity of the related PV System plus (iii) if the Solar Asset is subject to a New Home Solar Service Agreement, the quotient of (a) $[***] divided by (b) the DC kW of installed nameplate capacity of the related PV System, and on each December Determination Date commencing in December 2022 the fees described in clause (i) and (ii) shall each be increased by 2.00%. The Allocated Services Provider Fee Base Rate is used solely for the calculation of a Solar Asset's Discounted Solar Asset Balance and is not representative of a Project Company's actual Project Company Expenses.

More Definitions of Allocated Services Provider Fee Base Rate

Allocated Services Provider Fee Base Rate means, on the Closing Date, $[***], and on each October Determination Date commencing in October 2021 shall be increased by [***]%.
Allocated Services Provider Fee Base Rate shall be (i) for a Solar Asset without an energy storage device, an amount equal to $[***] and on each January Determination Date commencing in January 2025 shall be increased by 3.00% and (ii) for a Solar Asset with an energy storage device, an amount equal to $[***] and on each January Determination Date commencing in January 2025 shall be increased by 3.00%. “Amortization Period” means the period commencing at the end of the Availability Period (which may end and the Availability Period may re-start in certain circumstances when an Early Amortization Event is cured in accordance with the definition thereof). “Amortization Period Margin” means (i) with respect to any Advance (or portion thereof) actually funded by an Approved Commercial Paper Rate Conduit Lender through the issuance of Commercial Paper, for any Interest Accrual Period (or portion thereof) occurring during an Amortization Period when an Event of Default is not continuing, 3.35% per annum, and (ii) for all other Advances (or portions thereof), for any Interest Accrual Period (or portion thereof) occurring during an Amortization Period when an Event of Default is not continuing, 3.65% per annum. “A.M. Best” means A. M. Best Company, Inc. and any successor rating agency.
Allocated Services Provider Fee Base Rate means, on the Closing Date (i) $[***] in the case of the TEP II Project Company and TEP II-B Project Company, (ii) $[***] in the case of the TEP III Project Company and (iii) $[***] in the case of the Sol Owner Project Company and on each January Determination Date commencing in January 2021 shall be increased by [***]%.
Allocated Services Provider Fee Base Rate means, on the Closing Date, (i) $[***], plus (ii) the product of (a) $[***] and (b) the number of PV Systems owned by the Project Companies that also have Energy Storage Systems, and on each April Determination Date commencing in April 2022 the fees described in clause (i) and (ii) shall each be increased by [***]%. Allocated Services Provider Fee Base Rate means, with respect to a Solar Asset, an amount equal to (i) $[***] plus (ii)(x) if the Solar Asset has Energy Storage Systems and is not subject to a New Home Solar Service Agreement, the quotient of (a) $[***] divided by (b) the DC kW of installed nameplate capacity of the related PV System or (y) if the Solar Asset has Energy Storage Systems and the Solar Asset is subject to a New Home Solar Service Agreement, the quotient of (a) $[***] divided by (b) the DC kW of installed nameplate capacity of the related PV System, and on January 31 of each year (or if any such day is not a Business Day, the next succeeding Business Day) commencing in January 2025 the fees described in clause (i) and (ii) shall each be increased by [***]%.

Related to Allocated Services Provider Fee Base Rate

  • Hosted Services means the hosting, management and operation of the computing hardware, ancillary equipment, Software, firmware, data, other services (including support services), and related resources for remote electronic access and use by the State and its Authorized Users, including any services and facilities related to disaster recovery obligations.
