Interest in respect of Alternative Settlement Notes is calculated in accordance with the provisions of Condition 5(a) as specified in the applicable Final Terms.
Alternative Settlement Notes are Fixed Rate Notes in respect of which the Issuer pays interest and principal in a Specified Currency (the “Settlement Currency”) that is different from the Specified Currency in which the Notes are denominated (the “Denomination Currency”).
In addition to any other requirement set forth herein, Counterparty agrees not to designate any Settlement Date or elect Alternative Settlement under “Accounting Standards Codification (‘ASC’) 815-40; Alternative Settlement” below if settlement in respect of such date would result in a violation of any applicable federal or state law or regulation, including the U.S. federal securities laws.
The Dealers shall be appointed to make a determination of the Alternative Settlement Price taking into consideration the latest available quotation for the relevant commodity reference price and any other information that in good faith is deemed relevant.
The Alternative Settlement Price shall be the arithmetic mean of the three amounts determined to be the Alternative Settlement Price by each Dealer, in which case the calculation shall be binding and conclusive in the absence of manifest error.
