Ancillary Equipment Easement definition

Ancillary Equipment Easement has the meaning given such term in Section ---------------------------- 2.2 of the Ancillary Equipment Site Lease.

  • The Ancillary Equipment Easement shall be deemed to be appurtenant to the Ancillary Equipment Leasehold and shall be for the benefit of the Lessee and its successors and assigns and any tenant of the Ancillary Equipment Leasehold.

  • It is intended and agreed by the parties hereto that the Ancillary Equipment Leasehold, the Ancillary Equipment Easement, and other rights granted and conveyed hereunder shall be separate and independent covenants and agreements of the parties hereto and that, except as provided in Article XV, no Ancillary Equipment Leasehold, Ancillary Equipment Easement or other right granted or conveyed pursuant to this Agreement may be terminated without the express consent of the Collateral Trustee.

  • To secure the indebtedness evidenced by the Senior Debt, the Lessee will assign, mortgage and convey pursuant to a deed of trust to the Collateral Trustee its right, title and interest hereunder and in and to this Ancillary Equipment Site Lease and the Ancillary Equipment Leasehold and Ancillary Equipment Easement pursuant to the terms of the Financing Documents.

  • The Lessor further warrants and represents that Permitted Liens in existence on the date hereof do not and will not adversely affect the use of the Ancillary Equipment, the Ancillary Equipment Site and the Ancillary Equipment Easement as contemplated by the other Project Documents.

  • The Lessor covenants with the Lessee that the Lessee will enjoy quiet possession of the Ancillary Equipment Leasehold and the right to utilize the Ancillary Equipment Easement, free from claims of persons in possession and third parties claiming rights thereto.

  • At the expiration of the Ancillary Equipment Site Lease Term the Ancillary Equipment Easement granted and conveyed herein shall wholly terminate and revert to the Lessor.

  • During any Ancillary Equipment Site Renewal Term, the Lessee shall pay Lessor base rent determined in accordance herewith quarterly in arrears for use and occupancy of the Ancillary Equipment Site Leasehold and the Ancillary Equipment Easement.

  • Ancillary equipment means any device including, but not limited to, such devices as piping, fittings, flanges, valves, and pumps, that is used to distribute, meter, or control the flow of hazardous waste from its point of generation to a storage or treatment tank(s), between hazardous waste storage and treatment tanks to a point of disposal onsite, or to a point of shipment for disposal off-site.

  • Equipment Lease means a Contract for the lease of Equipment or for the purchase of Equipment under a conditional sales or title retention agreement.

  • Interconnection equipment means a group of components or an integrated system owned and operated by the interconnection customer that connects an electric generator with a local electric power system, as that term is defined in Section 3.1.6.2 of IEEE Standard 1547, or with the electric distribution system. Interconnection equipment is all interface equipment including switchgear, protective devices, inverters or other interface devices. Interconnection equipment may be installed as part of an integrated equipment package that includes a generator or other electric source.

  • Equipment Room means a space intended for the operation of pool pumps, filters, heaters and controllers.

  • Equipment Leases shall have the meaning set forth in Section 2.1(b) hereof.

  • Equipment Schedule means (a) each Equipment Schedule attached to the applicable Requisition and (b) each Equipment Schedule attached to the applicable Lease Supplement.

  • Interconnection Service Agreement means an agreement among the Transmission Provider, an Interconnection Customer and an Interconnected Transmission Owner regarding interconnection under Tariff, Part IV and Tariff, Part VI. List of Approved Contractors:

  • Design-Build Agreement means the design and construction agreement between Project Co and the Design-Builder, a certified copy of which has been delivered by Project Co to the Authority, as amended, supplemented or replaced from time to time in accordance with this Agreement;

  • Replacement Equipment means operational equipment or other parts used by Tenant to replace any of the Equipment.

  • Project Equipment means all personal property, goods, leasehold improvements, machinery, equipment, furnishings, furniture, fixtures, tools and attachments wherever located and whether now owned or hereafter acquired, financed in whole or in part with the proceeds of the Bonds, and any additions and accessions thereto, substitutions therefor and replacements thereof, including, without limitation the Project Equipment described in Appendix C hereto, as amended from time to time in accordance herewith.

  • Standard equipment means the basic configuration of a vehicle which is equipped with all the features that are required under the regulatory acts of the Contracting Party including all features that are fitted without giving rise to any further specifications on configuration or equipment level.

  • Accessory equipment means any equipment associated with the installation of a wireless telecommunications facility, including but not limited to cabling, generators, fans, air conditioning units, electrical panels, equipment shelters, equipment cabinets, equipment buildings, pedestals, meters, vaults, splice boxes, and surface location markers.

  • Terminal Equipment means all telephone instruments, including pay telephone equipment, the common equipment of large and small key and PBX systems and other devices and apparatus, and associated wirings, which are intended to be connected electrically, acoustically or inductively to the telecommunication system of the telephone utility.

  • Interconnection Construction Service Agreement means the agreement entered into by an Interconnection Customer, Interconnected Transmission Owner and the Transmission Provider pursuant to Tariff, Part VI, Subpart B and in the form set forth in Tariff, Attachment P, relating to construction of Attachment Facilities, Network Upgrades, and/or Local Upgrades and coordination of the construction and interconnection of an associated Customer Facility. A separate Interconnection Construction Service Agreement will be executed with each Transmission Owner that is responsible for construction of any Attachment Facilities, Network Upgrades, or Local Upgrades associated with interconnection of a Customer Facility. Interconnection Customer:

  • Company Equipment means all equipment supplied by the Company to the Contractor, to use in the performance of the Work and which is specified in the Contract as “Company Equipment”.

  • Heavy equipment means such construction machinery as backhoes, treaded tractors, dump trucks, and front-end loaders.

  • Interconnection Agreement means an agreement between Seller and the Interconnecting Utility and ISO-NE, as applicable, regarding the interconnection of the Facility to the Transmission System of the Interconnecting Utility, as the same may be amended from time to time.

  • Third Party Equipment has the meaning given such term in Section 4.8 of this Agreement.

The Interconnection Agreements shall address cost responsibilities among entities other than the Distribution Company and the other RFP Sponsors and shall include provisions, both technical and otherwise, for safe and reliable interconnected operations of the HVDC Transmission Project following Commercial Operation (including use of the HVDC Transmission Project for the delivery of electric power in emergency circumstances).

  • Generation Interconnection Agreement means the large generator interconnection agreement to be entered into separately between Seller and Interconnection Provider concerning the Interconnection Facilities.

  • Existing Equipment means equipment, machines, devices or installations that are in operation prior to September 23, 1970.
