Announcing Party definition

Announcing Party has the meaning specified in General Terms and Conditions 12.2. "Announcing Third Party" has the meaning specified in General Terms and Conditions 12.2. "Automatic Exercise" has the meaning specified in General Terms and Conditions 7.2. "Automatic Redemption" has the meaning specified in General Terms and Conditions 8.2.
Announcing Party has the meaning set forth in Section 14.18.

Examples of Announcing Party in a sentence

  • In the event that an Index is not announced by the agreed relevant party (the "Announcing Party") but is announced by another entity which is the successor to the Announcing Party acceptable to the Issuer (the "Announcing Third Party"), the Announcing Third Party may be substituted to the Announcing Party for the announcement of such Index.

  • The Announcing Party shall reasonably consider in good faith any modifications to the publication or press release requested by the other Party.

  • In the event that either Party (the “Announcing Party”) proposes to make any public announcement or press release regarding this Agreement, the Definitive Agreement, or the transactions contemplated hereby or thereby, such Announcing Party shall first provide the other Party with an advance copy of each proposed publication or press release at least [*] prior to its proposed date of publication.

  • Each Announcing Party acknowledges and agrees that the Reviewing Party shall have the right to require the -56- Announcing Party to delete any such references to this Agreement or any other Loan Document (or the transactions contemplated hereby and thereby), and each Announcing Party hereby agrees to comply with any such requirement by the Reviewing Party.

  • In the event that either Party (the “Announcing Party”) proposes to make any public announcement or press release regarding this Agreement, the Definitive Agreement, or the transactions contemplated hereby or thereby, such Announcing Party shall first provide the other Party with an advance copy of each proposed publication or press release at least [***] prior to its proposed date of publication.

  • The parties shall each appoint representatives whom the Announcing Party shall be required to notify to the other parties as soon as reasonably practicable after the Effective Date for the purposes of this clause.
