Annual Audited Accounts definition

Annual Audited Accounts means the accounts of the Franchisee which: (a) comply with paragraph 3.11 of Schedule 13 (Information and Industry Initiatives); and (b) are delivered to the Secretary of State by the Franchisee in accordance with paragraph 3.9 of Schedule 13 (Information and Industry Initiatives) and certified by the Franchisee's auditors as true and fair;
Annual Audited Accounts means the accounts of the Franchisee which:
Annual Audited Accounts as soon as practicable, but in any event no later than 90 days after the end of each fiscal year of the Borrower: (i) the audited Consolidated balance sheet of the Borrower and its Subsidiaries as at the end of such year, (ii) the related audited Consolidated statements of income and the audited Consolidated statement of cash flows of the Borrower and its Subsidiaries for such year prepared in accordance with GAAP, (iii) so long as the Borrower is required to deliver an annual operating business plan pursuant to Section 8.2(a), a separate variance analysis setting forth in comparative form the figures for the previous fiscal year and any variances from the applicable period of the Approved Annual Operating Business Plan (or the Approved Full-Term Operating Business Plan, if the Required Lenders have not approved a plan delivered pursuant to Section 8.2(a) with respect to such fiscal year) in reasonable detail; and (iv) in respect of such annual accounts, a management letter from the Borrower's accountants (only to the extent otherwise obtained by the Borrower);
