Annual Election Date definition

Annual Election Date means June 1st of every calendar year beginning on June 1, 2018 unless a Controlling Class Representative has been elected or re-elected on or after January 1st of that same calendar year, in which case, the Annual Election Date will be deemed to not occur during such calendar year.
Annual Election Date means a date in December of each year established by the Board.
Annual Election Date means November 14th of every calendar year beginning on November 14, 2019, unless a Controlling Class Representative has been elected or re-elected on or after November 14th of that same calendar year, in which case the Annual Election Date will be deemed to not occur during such calendar year.

Annual Election Date means, prior to the 2022 Springing Amendments Implementation Date, June 1st of every calendar year beginning on June 1, 2018 unless a Controlling Class Representative has been elected or re-elected on or after January 1st of that same calendar year, in which case, the Annual Election Date will be deemed to not occur during such calendar year. “Annual Noteholders’ Tax Statement” has the meaning set forth in Section 4.2 of the Base Indenture. “Applicable Procedures” means the provisions of the rules and procedures of DTC, the “Operating Procedures of the Euroclear System” and “Terms and Conditions Governing Use of Euroclear” and the “General Terms and Conditions of Clearstream Banking” and “Customer Handbook” of Clearstream, as in effect from time to time. “Asset Disposition Proceeds” means (i) the proceeds of any disposition (including all cash and cash equivalents received as payments of the purchase price for such disposition, including, without limitation, any cash or cash equivalents received in respect of deferred payment, or monetization of a note receivable, received as consideration for such disposition) pursuant to clauses (i) or (x) of the definition ofPermitted Asset Disposition” or any other disposition not permitted under the terms of the Indenture, minus (ii) (A) the principal amount of any Indebtedness that is secured by the applicable property and that is required to be repaid in connection with such disposition (other than Indebtedness under the Notes) to the extent such principal amount is actually repaid, (B) the reasonable and customary out-of-pocket expenses incurred by the Securitization Entities in connection with such disposition, as certified by the applicable Manager, and (C) income taxes reasonably estimated to be actually payable within two (2) years of such disposition as a result of any gain recognized in connection therewith; provided, that the proceeds of Refranchising Asset Dispositions shall not constitute Asset Disposition Proceeds to the extent that that the

However, a transition period between the last day of the Company’s previous fiscal year end and the first day of its new fiscal year that comprises a period of nine to 12 months shall be deemed a completed fiscal year.

  • Special Enrollment Period means a period of time allowed under this Plan, other than the eligible person’s Initial Enrollment Period or an Open Enrollment Period, during which an eligible person can request coverage under this Plan as a result of certain events that create special enrollment rights.

  • Designation Date as defined in Subsection 2.10(f).

  • Election Year means a year in which ordinary elections for local governments are required to be held;

  • Primary election means any regular primary election held under the election

  • Election Form means the form established from time to time by the Committee that a Participant completes, signs and returns to the Committee to make an election under the Plan.

  • Nomination Period means, in respect of a Nomination, the period from the Nomination Start Time to the Nomination End Time;
