Annual Inspection Notice has the meaning specified in Section 8.01(d). “Assignment and Assumption Agreement” has the meaning set forth in Section 9.17(a). “Bankruptcy Code” shall mean Title 11 of the United States Code, as amended from time to time, and all rules and regulations promulgated thereunder. “Base Rate” means, for purposes of the Series 2018-1 Class A Notes when applicable pursuant to this Agreement on any day, a rate per annum equal to the sum of (a) 1.10 % plus (b) the greater of (i) the Prime Rate in effect on such day, (ii) the Federal Funds Rate in effect on such day plus 0.50% and (iii) the Eurodollar Funding Rate (Reserve Adjusted) for a Eurodollar Interest Accrual Period with a maturity of one month as in effect on such day plus 1.00%; provided that any change in the Base Rate due to a change in the Prime Rate or the Federal Funds Rate shall be effective as of the opening of business on the effective day of such change in the Prime Rate or the Federal Funds Rate, respectively; provided, further, that changes in any rate of interest calculated by reference to the Base Rate shall take effect 2 DMSLIBRARY01\32647597

Related to Annual Inspection Notice

  • Initial inspection means the first on-site inspection of facilities to verify declarations submitted pursuant to Articles III, IV, V and VI and this Annex.

  • Inspection Period means the period beginning on the Effective Date and expiring at 5:00 p.m. eastern time on the forty-fifth day of the Effective Date.

  • Completion Notice means a notice issued by the Developer in accordance with clause 6.1.

  • Notice of Completion means a document issued by the Department or Delegated Agency at the end of project construction when all items and conditions of the approved Sediment and Stormwater Management Plan have been satisfied, post construction verification documents demonstrate that the stormwater management systems have been constructed in accordance with the approved Sediment and Stormwater Management Plan, and final stabilization of disturbed areas on the site has been achieved.

  • Inspection Report means the report delivered by the Master Servicer or the Special Servicer, as the case may be, substantially in the form of Exhibit L hereto.

  • Certificate of Completion means the certificate of completion given by the Engineer-in-charge pursuant to clause 40 of these conditions;

  • Project Completion Date means the date on which the Completion Certificate is issued;
