Arch Coal definition

Arch Coal means Arch Coal, Inc., a Delaware corporation.
Arch Coal has the meaning ascribed thereto in the preamble.

  • If such audit reveals an overpayment by Arch Coal, ADA shall promptly refund the amount of such overpayment.

  • Arch Coal shall maintain accurate records, in accordance with generally accepted accounting principles, for the calculation of each element of the Total Investment, including copies of sales contracts that reflect the pricing for non-Enhanced Coal from time to time during the term of this Agreement, and shall maintain such records for at least two (2) years following the termination of this Agreement.

  • Arch Coal shall not, and Arch Coal shall cause its Affiliates not to at any time file any application to register, patent or otherwise claim ownership of the Licensed Technology anywhere in the world or engage in any activity or provide any assistance, directly or indirectly including through an Affiliate, representative or agent, challenging ADA’s ownership, or the validity of ADA’s IP Rights in the Licensed Technology, Additional IP, Documentation or Trademarks or restricting the scope thereof.

  • It may also be of interest to evaluate exploration coals that Arch Coal has an interest in developing.

  • ADA hereby grants to Arch Coal and its Affiliates an exclusive, nontransferable (except as set forth in Section 11.3) license to Use the Developed Technology in the Field of Use in the Territory during the term of this Agreement.

  • In consideration for the licenses granted in Section 3, Arch Coal shall pay ADA an initial, non-refundable license fee in cash in the amount of two million dollars ($2,000,000) the (“Initial License Fee”) concurrently with the execution of this Agreement, plus the Ongoing Royalty (as defined below).

Arch Coal. Group shall mean, as of any date of determination, the Borrower and its Subsidiaries (other than the Excluded Subsidiaries and the Securitization Subsidiary). Arch of Wyoming LLC shall mean Arch of Wyoming, LLC, a limited liability company organized and existing under the laws of the State of Delaware. Arch of Wyoming LLC Agreement shall mean that certain Limited Liability Agreement, dated as of April 15, 1998, of Arch of Wyoming LLC. Arch Western shall mean Arch Western Resources, LLC, a limited liability company organized and existing under the laws of the State of Delaware. Arch Western Credit Facility (1998) shall mean that certain Credit Agreement by and among Arch Western, PNC Bank, as administrative agent, and JPMorgan Chase Bank (successor in such capacity to Xxxxxx Guaranty Trust Company of New York), as syndication agent, providing for a $675,000,000 term loan facility to Arch Western, dated as of June 1, 1998, as amended and restated through and including the Restatement Effective Date.

  • Sage means The Sage Group plc or an Affiliate thereof.

  • Biogas means gaseous fuels produced from biomass;

  • Catalyst means a substance whose presence enhances the reaction between chemical compounds.

  • APC means the Ambulatory Payment Classification system under 42 CFR 419.31 used by Medicare for grouping clinically and resource-similar procedures and services.

  • AES means the Advanced Encryption Standard, a specification of Federal Information Processing Standards Publications for the encryption of electronic data issued by the National Institute of Standards and Technology (xxxx://xxxxxxx.xxxx.xxx/nistpubs/FIPS/NIST.FIPS.197.pdf).

  • BG means Bank Guarantee

  • ONYX means Onyx Acceptance Corporation, and its successors.

  • IDT means intradepartmental transfer.

  • IOSCO means the International Organisation of Securities Commissions.

  • Renewable energy resources means energy derived from solar, wind, geothermal, biomass, and hydroelectricity. A fuel cell using hydrogen derived from these eligible resources is also an eligible electric generation technology. Fossil and nuclear fuels and their derivatives are not eligible resources.

  • Renewable energy means the grid quality electricity generated from renewable energy sources;

  • Arena means an enclosed building:

  • renewable energy sources means renewable sources such as small hydro, wind, solar including its integration with combined cycle, biomass, bio fuel cogeneration, urban or municipal waste and other such sources as approved by the MNRE;

  • biofuels means liquid or gaseous fuel for transport produced from biomass;

  • Spectrum means frequencies of electromagnetic spectrum used to provide fixed or mobile communications services as licensed or authorized by the FCC.

  • Alternative energy technology means equipment, component parts, materials, electronic devices, testing equipment, and related systems that are specifically designed, specifically fabricated, and used primarily for 1 or more of the following:

  • Renewable energy resource means a resource that naturally replenishes over a human, not a geological, time frame and that is ultimately derived from solar power, water power, or wind power. Renewable energy resource does not include petroleum, nuclear, natural gas, or coal. A renewable energy resource comes from the sun or from thermal inertia of the earth and minimizes the output of toxic material in the conversion of the energy and includes, but is not limited to, all of the following:

  • Pioneer or the "Company" means Pioneer Natural Resources Company and its subsidiaries.

  • Renewable Resources means one of the following sources of energy: solar, wind, tidal, geothermal, biomass, hydroelectric facilities or digester gas.

  • Renewable Energy Source means an energy source that is not fossil carbon-based, non- renewable or radioactive, and may include solar, wind, biomass, geothermal, landfill gas, or wave, tidal and thermal ocean technologies, and includes a Certified Renewable Energy Source.

  • Cargill means Cargill, Incorporated and its direct and indirect subsidiaries, individually or in any combination;

  • ESMP means an environmental and social management plan (including any pest management plan), acceptable to the Association and consistent with the ESMF, adopted for the purposes of a Micro-project, and giving details of the magnitude of the environmental impacts, as well as the specific actions, measures and policies designed to facilitate the achievement of the objective of the ESMF under the Micro-project, including the budget and cost estimates, and sources of funding, along with the institutional and procedural measures needed to implement such actions, measures and policies, as such ESMP may be amended form time to time with the prior written agreement of the Association.
