Armadillo Shares means 3,191,489 of the Ordinary Shares of Armadillo Investments, Plc. "Attorney-in-Fact" means Gottbetter & Partners, LLP, 000 Xxxxxxx Xxxxxx, 00 Xxxxx, Xxx Xxxx, XX 00000; Tel: 000-000-0000; Fax: 000-000-0000.
Armadillo Shares means 2,500,000 Ordinary Shares with a par value of £0.10 each in the capital of the Subscriber.
Armadillo Shares means 1,600,000 ordinary shares of �0.10 each in the capital of Seller now owned by Company together with all rights accrued thereon; `Articles' means the articles of association for the time being of the Company;

  • The Company accepts and agrees that Pearl Corporate Finance Limited (“Pearl”) is acting for the Subscriber in relation to this Agreement, and that it has not made any recommendation to the Company, in relation to this Agreement and is not advising the Company, with regard to the suitability or merits of the Armadillo Shares.

  • In the event that the Company is unable to sell the Armadillo Shares within ten (10) days of the Closing in the manner described in the previous sentence, the Company shall return the certificate for the Armadillo Shares to Purchaser, and the Escrow Agent shall return the Closing Stock Certificate to the Company.

  • In the event that the Company is unable to sell the Armadillo Shares within five (5) days of the Closing in the manner described in the previous sentence, the Company shall return the certificate for the Armadillo Shares to Purchaser, and Purchaser shall return the Closing Stock Certificate to the Company.

  • Collateral: such number of Armadillo Shares as will at all times constitute at least 51% of the outstanding Armadillo Shares.

  • Purchaser Shares means the common shares in the capital of the Purchaser.

  • Co-op Shares Shares issued by private non-profit housing corporations.

  • PIPE Shares shall have the meaning given in the Recitals hereto.

  • Consideration Shares shall have the meaning set forth in Section 2.7(c).

  • Sponsor Shares shall have the meaning given in the Recitals hereto.

  • Subscriber Shares means the Shares which the subscribers to the Instrument of the ICAV agree to subscribe for as more particularly hereinafter set forth after their names.
