Authorised Affiliate definition

Authorised Affiliate means an Affiliate of the Licensee granted rights by the LME to enjoy the benefits conferred under the Agreement to the Licensee in respect of the Data, such use and access being subject to this Agreement;

Authorised Affiliate means each Customer Affiliate(s) which: 12.1.4.1 is a Controller of Personal Data Processed by Telstra pursuant to this DPA, which data is subject to EU or UK Data Protection Laws; and 12.1.4.2 is permitted to use the Services pursuant to the Services Agreement or a Service Order Form between Customer and Telstra, but which has not signed its own Services Agreement or Service Order Form with Telstra and is not a “Customer” as defined in this DPA;

Authorised Affiliate means any of Customer’s Affiliate(s) which (a) is subject to the data protection laws and regulations of the European Union, the European Economic Area and/or their member states, Switzerland and/or the United Kingdom, and (b) is permitted to use the Services pursuant to the Agreement between Customer and Impero, but has not signed its own Order Form with Impero and is not a “Customer” as defined under this DPA;

Examples of Authorised Affiliate in a sentence

• The LME may refuse to accept any Affiliate as an Authorised Affiliate at its absolute discretion, acting reasonably, and may withdraw its acceptance of an Authorised Affiliate by provision of notice to the Licensee at any time.

• Any Loss suffered by an Affiliate which is not an Authorised Affiliate or any Loss suffered by an Authorised Affiliate which is not recoverable in accordance with the prior sentence, shall be irrecoverable as against the LME.

• The Licensee may (subject to the prior written approval of the LME) amend its Authorised Affiliates but at all times the Authorised Affiliate List as shown on the LME Portal shall take priority over the Order Form.

• Each Authorised Affiliate agrees to be bound by the obligations under this DPA and, to the extent applicable, the Agreement.

• Licensees are responsible for ensuring due compliance of the Agreement by Authorised Affiliates as if each Authorised Affiliate was a Party to the Agreement.

Authorised Affiliate means any of Customer Affiliate(s) permitted to or otherwise receiving the benefit of the Services pursuant to the Agreement.
