Authorised Instructions definition

Authorised Instructions means any directions and instructions from an Authorised Party provided in accordance with cClause 26 32 (Authorised Instructions).

  • Prior to acting on your instructions, we may need to verify you are an Authorised Signatory and that your instructions are Authorised Instructions.

  • For greater certainty, RBCIS is not obligated to act upon any Authorised Instruction and, notwithstanding any provision herein to the contrary, shall have the sole discretion to act upon the Authorised Instructions.

  • RBCIS shall not be liable for Losses arising from Authorised Instructions not received by such applicable Cut-Off Time.

  • If RBCIS declines to accept Authorised Instructions to enter into a proposed FX Transaction, RBCIS shall not be obliged to give a reason to the Customer and RBCIS shall promptly notify the Customer accordingly.

  • The Custodian may follow Authorised Instructions in providing pricing or other Market Data, even if such Authorised Instructions direct the Custodian to override its usual procedures and Market Data sources.

  • For the avoidance of doubt, any instruction or other communication given by (or purported to be given by) an Authorised Person shall be deemed to be Authorised Instructions given by the Customer for the purposes of this Agreement and any communication given under this Agreement that is not signed and delivered in writing shall have the same effect as if it had been signed and delivered in writing.

  • In such circumstance, RBCIS shall not be liable for any Loss resulting from the incapability to act in accordance with such Authorised Instructions.

  • Without limiting Section 16 below, accessing liquidity or managing risk may require the sharing of details of Authorised Instructions (which may include Confidential Information as defined below), internally and with RBCIS Affiliates, in order to establish the price of a FX Transaction or for the purposes of managing the risk of such FX Transaction and, by entering into this Agreement, the Customer hereby consents to RBCIS sharing such information as aforesaid.

  • Where the Customer gives Authorised Instructions to RBCIS to execute a Direct FX Transaction through Automated Systems, the FX Confirmation for the related FX Transaction will be confirmed through the relevant Automated System at the time of the FX Transaction.

  • Without limiting the foregoing, RBCIS shall carry out Authorised Instructions only when the relevant market is open for dealings, and RBCIS shall carry out any Authorised Instructions received outside of the applicable FX Cut- Off Time as soon as possible when the relevant market is next open for business (in accordance with the rules of that market).

Proper Instructions may include communications effected directly between electro-mechanical or electronic devices provided that the Investment Company, or the Fund, and FAS are satisfied that such procedures afford adequate safeguards for the Fund's assets. Proper Instructions may only be amended in writing.

  • Written Instructions means (i) written communications actually received by the Custodian and signed by an Authorized Person, (ii) communications by facsimile or Internet electronic e-mail or any other such system from one or more persons reasonably believed by the Custodian to be an Authorized Person.

  • Transfer Instructions are the information that you provide when using the Service. “Us,” “We,” and “Our” means Credit Union.

  • Service Instructions means such instructions given to the Bank via any Telephone Banking Service;

  • Qualified instructor means individuals whose training and experience adequately prepare them to carry out specified training assignments. Interpreting physicians, radiologic technologists, or medical physicists who meet the requirements of 41.6(3) would be considered qualified instructors in their respective areas of mammography. Radiological technologists who meet the requirements of 41.6(3) and have passed a state-approved mammography examination such as the examination given by the American Registry of Radiography Technologists would be considered qualified instructors in their respective areas of mammography. The examination would include, but not necessarily be limited to: breast anatomy and physiology, positioning and compression, quality assurance/quality control techniques, and imaging of patients with breast implants. Other examples of individuals who may be qualified instructors for the purpose of providing training to meet the regulations of this chapter include, but are not limited to, instructors in a post-high school training institution and manufacturers’ representatives.

  • Administrative Instructions means the Administrative Instructions under the Treaty;

  • Indirect instruction means any general or specific instruction given in any form by the person required to provide the notification or any person controlled by that person within the meaning of Article L. 233-3 of the Commercial Code that limits the discretion of the management company or the investment service provider in the exercise of the voting rights in order to serve the commercial interests of the person required to provide the notification or the controlled person.
